 SPECIAL CONDITIONS

1. The location of work is as noted in the schedule. The contractor has to visit site
before quoting and interact with our representatives or Engineers of consultants
and study all the requirements.

2. The quantities provided in the estimate are reasonably correct as per the
assessment made. On actual execution, the quantities may vary by increasing or
decreasing to the actual requirement. The contractor is liable to execute the work
to the actual requirement of quantities. No claim shall be admitted for extra rates
for the variations in quantities.

3. All materials before being incorporated in the work shall be inspected and if
necessary tested before approval by the Authorities. Any work on which such
materials are used without prior inspection and without approval is liable to be
considered as objective and not acceptable. Store accounting procedure will be
followed as directed by Technopark

4. The contractor has to provide all materials for the execution. The owner does not
take responsibility of supplying any material. The rate quoted shall be including
all costs.

5. Electric power and water for the work has to be arranged by the contractor.

6. Works shall be carried out without disturbing the existing RCC/ truss /
Tiled /finished surface.

7. Any defects occurs on the existing surface will be replaced by the contractor at his
own cost.

8. The time of completion for the entire work is 45 days. Commencement of the
work shall be considered from the 1st day on receipt of work order. Rate quoted
should be inclusive of all taxes, LWF, VAT, TDS, WCT etc.

9. Quality of materials should be approved from the owner before supply of

materials.

10. The contractor should co-operate with other contractors working at the site.

11. The primer to be applied for the ceiling shall be with zinc chromate primer.
Painting of the MS should be done with two coats of enamel paint of approved
make.

12. Time is the essence of the contract. The total work has to be completed in 45
days. Commencement of the work shall be considered from the 7th day on receipt
of work order.
13. The work has to be completed and handed over by the end of 45 days from the
date of commencement of work as per tender conditions. If the contractor fails to
complete and hand over the building within the specified period, the penalty shall
be charged at 0.5% of the contract amount per day of delay till it is handed over or
till the penalty reaches 5% of the contract amount, after which the contract stand
cancelled and the balance work will be arranged at the risk and cost of the
contractor.

14. DEFECTS LIABILITY PERIOD:

a. Any defect developed within 'Defect Liability Period' of Twelve months will have
to be rectified by the contractor at their own cost and in case the defects are not
rectified by the contractor in time, Consultant / "TECHNOPARK” or their
representative shall get the work done at the risk and cost of the contractor.

b. Income-tax and Surcharge on Income Tax at the rate prevailing at the time
of payment will be deducted from each running bill and final bill.

c. All statutory payments in connection with the employment of the Workmen &
Employees State Insurance for this work will be borne by the Contractor at the
prevailing rates.

d. The contractor is the employer of all the workers engaged for this work and
should therefore take all required registrations and pay premiums correctly to
labour welfare funds/Employees State Insurance, PF, Cess Act 1996 etc.

The contractor will be responsible for the payment of minimum wages and
compliance under the various enactments regarding the workers deployed by him.

e. Sales Tax on work (work contract tax) shall be deducted at the prevailing rates on
the gross payment, for contractors having K.G.S.T registration. For those
contractors without K.G.S.T registration the deduction for work contract tax shall
be as per K.G.S.T rules.

f. Technopark Phase III is a SEZ notified area. The contractor should quote the rates
considering the tax exemption applicable for SEZ Kerala. The contractor may
make the necessary documentation to avail the exemption of Service Tax.

15. PERIOD OF VALIDITY:

The tender shall remain valid for acceptance for a period of 120days from the date
of submission of the tenders. If any tenderer withdraws his tender before the said
period or makes any modifications in terms and conditions of the tender, then the
“TECHNOPARK” has the liberty to forfeit the said Earnest Money Deposit.
16. PENALTY :

17. CONTRACTOR'S STORE AND SITE OFFICE:

Suitable area near the site of work shall be allowed to the contractor free of cost
for storing his tools and plants, materials and for his site office and cement go-
down. However, the structure will be provided by him at his own expense and he
will be solely responsible for guarding his property and shall cover his property
with requisite insurance against theft, fire etc. The contractor however will have
to dismantle the sheds and vacate the land of all debris etc. at his own expense
after completion of work.

18. MEASUREMENT AND BILLING:

Wherever mode of measurement is not specified, the measurement will be taken

at site as per the latest IS code of practice for measurement.

The contractor or his representative shall accompany the Architect/

TECHNOPARK or their representative in taking/checking measurements and
shall agree to the measurements taken on spot. All necessary tapes shall be of
steel and shall be supplied by the contractor. The contractor shall then present his
bill based upon the agreed and recorded measurements and as per the directions of
the Architect. If the contractor fails to accompany the Architect/TECHNOPARK
for measurements, then he shall be bound by the measurements taken by the
Architect/TECHNOPARK.

The Contractor shall raise bills once a month or for a minimum gross value of
10% of contract amount.

Payment towards all interim bills will be settled by the TECHNOPARK within a
time limit of 20 days of presentation by the contractor.

Period of final measurement shall be one month from the time of completion of
the project.
19. EXTRA ITEMS

Extra items may be classified as additional, substituted or altered items,

depending on their relation or otherwise to the original item or items of work.

Rates for authorized extra items, additional, altered or substituted work as may be
ordered shall be determined by the TECHNOPARK as follows:

a. In the case of all extra items whether additional, altered or substituted, if accepted
rates for identical items provided for in the contract, such rates shall be
applicable.

b. In the case of extra items whether altered or substituted, for which similar items
exists in the contract, the rates shall be derived from the original item by
appropriate adjustment of cost of affected components. The percentage excess or
deduction of the contract rate for the original item with reference to the estimated
rate shall be applied in deriving the rates for such items.

c. In the case of extra items, whether altered or substituted, for which similar items
do not exist in the contract, the rates shall be arrived at on the basis of provisions
of Standard Data Book and Revised Schedule of Rates 2014 of DSR by adding
profit of 15% and applying the contractors’ quoted percentage above or below.

d. In the case of extra items, whether additional, altered or substituted, for which
the rates cannot be derived from similar items in the contract, and only partly
from similar items in the contract, and only partly from the public work
departmental rates, the rates for such part or parts of items as are not covered in
the schedule of rates shall be determined by the TECHNOPARK on the basis of
the prevailing market rates giving due consideration to the analysis of the rate
furnished by the contractor with supporting documents, including Contractor's
profit. This shall be added on to the DSR 2014 (including contractor's profit), for
the other part or the items for which the rates can be derived from the schedule of
rates of DSR adjusting the percentage quoted for this part alone.

e. In the case of extra item whether additional, altered, substituted, for which the
rates cannot be derived either from similar item of work in the contract or from
the departmental schedule of rates, the Contractor shall within 14days of the
receipt of order to carry out the said extra item of work, communicate to the
Engineer the rate which he proposes to claim for the item, supported by analysis
of the rate claimed and the TECHNOPARK shall within one month thereafter,
determine the rate on the basis of the market rate giving due consideration to the
rate claimed by the Contractor.

20. WATER AND ELECTRICITY:

The contractor shall make his own arrangement for water and electricity required
for the works. The TECHNOPARK takes no responsibility for the supply of
either electricity or water.
21. INSURANCE:

The successful contractor shall take out necessary insurance policy, jointly in the
name of the TECHNOPARK and the contractor, and the original policy shall be
deposited with the TECHNOPARK.

22. SITE TO BE KEPT CLEAN:

The surplus spoil and dismantled debris shall be removed to a place as

directed by the Architect/Consultant and stacked, leveled and dressed as
directed. Housekeeping should be done by the contractor in a daily basis and
separate labors should be provided for the same.
