    MEMORANDUM OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This contract was made and entered into by and between:

    ATTY. ELEONOR A. MARAVILLA-ONA, Filipino, of legal age and with


    postal address at CM Plaza Bldg., Don P. Campos Ave., Dasmarinas, Cavite,
    hereinafter referred to as FIRST PARTY;

    -and-

    NESTOR R. PEREA, Filipino, of legal age and resident of 254 R.


    Magsaysay St., Daine, Indang, Cavite and NICA A. ALDE, Filipino, of legal
    age and resident of 2235 P. Binay St., Bangkal, Makati City, hereinafter
    referred to as SECOND PARTY;

    WITNESSETH:

    WHEREAS, FIRST PARTY intends to sell a real property located at


    Malinta, Dasmarinas, Cavite covered by Transfer Certificate of Title No. T-
    1025896, for a selling price of TWO THOUSAND FIVE HUNDRED PESOS
    (P2,500.00) per square meter;

    WHEREAS, both parties hereby agree that any amount in excess of


    Two Thousand Five Hundred Pesos (P2,500.00) per square meter shall be
    divided between them in the following manner:

    FIRST PARTY - 50%


    SECOND PARTY - 50%

    IN WITNESS HEREOF, the parties hereto have hereunto set their hands
    this 14th day of October 2003 in Dasmarinas, Cavite.
