Electrical & Structural advice, for the proposed construction of Falling Film Sulfonation plant
for IWs Ultramarine.& Pigments Ltd at Naidupeta, Menakuru, APIIC- Industrial park, Andhra
Pradesh (AP).

4. PAYMENT TERMS.

l. 1% - Naidupeta, Project Civil engineering concept & design with more than four options,
detail engineering on selected two options from the conceived design & finalizewith one
final option, frnalized options, construction drawings works which includes many
iterations, Finalized issue for construction version hand over to the awarded/fin alized
contractor - for the particular bid/job. The same will be certified by IWs. Ultramarine &
Pigments Lirpited - Project Head/DGM).

2. 0.5% - After finalizing the tender, based on the finalized design, engineering option &
prospective contractor selection after technical evaluations. The sam" *itt Ue certinea by

3. 1.5% at prorate basis during the course of execution of awarded jobs from the designed,
detail engineered jobs at site on the basis of progress, quality delivered assessed by-lWs.

l. Retention Percentage:

3. Consultant/ Architect service scope &
Obligations Providing design, GA drawings, detail drawings,
advice, tendering, technical bid coordination,s,
consulting, monitoring and expediting progress at
site for all Civil, structural jobs.
4. Liquidated damages 2Yo on the value of contract per week of delay
beyond the agreed project schedule (300 days) of
construction accepted and subject to maximum of
l5o/o of the contract value.
5. Time of Completion 10 months from the issue of this Purchase/Work
Order.

6. Interim Bills Once in every quarter.

7. Period of Honoring 15 days from the date certified by Project Head.

9. Venue of Arbitration and jurisdiction. Chennai.

3. SPECIFIC CONDITIONS

Specific Conditions and Specification on which Consultancy service is to be based:

1. Consultant should be fully aware of topographic, geographic, hydrogeological


information of the SITE. Client shall organise soil test & water table test reports to ensure
perfect ground bearing information to design civil buildings, structures, reservoirs,
drains, roads, etc.

2. Consultant should follow the conceptual ideas of Client and design, detail those into
Engineering schemes, drawings in 2D,3D profiling software's. Capable of guiding sub-
contractors with relevant, latest Engineering Standards and should get it executed at site
within committed project schedules.

3. Consultant should ensure all sub-contractors to follow the tender & PO conditions such as
quantity, quality, statutory requirements, and guide, protect Client from legal, statutory
issues.

4. Consultant should use authorized communication modes such as email, letters, to pass on
any advice, instructions, guidance to Client or Sub-Contractor, vendors, agencies etc., at
any point of time. Avoid any verbal communications.

5. All designs, constructions must meet local, national statutory requirements without
violations.

6. The Consultant should be well versed in A.P. governmenUstatutory bodies requirements on


constructions practice/guidelines.'

7. Consultant while preparing design of any civil building, structure they should produce
Client with minimum three options as conceptual design, from the recent building
techniques prevailing in the country, integrated design process (Climate Tech, low energy,
self-sustaining, etc) & International standards; suggest, advice the pros & cons from
technical view point, strength, life cycle assessment (expected guarantee), with its
constructional cost estimate. And review (up to three revisions) the options, suggestions,
comments made by Client to revisit design, cost effective, cost-reduction measures also
strive to manage the conceptual design to suit Client business environment. In the case of
General arrangement, the iterations for conceptualization, review, suggestion &
improvement on layout, shall not be restricted.

8. Consultant should be careful in providing Bill of Quantities (BOQ) from a Client approved
design, drawing to issue tenders; the BOQ should consists of all possible executable
activities with detailed quantities and the variations of calculated quantities shall not be
more than l0o/o at any point of time. Also, the items like QRO (Quote rate only) should be
included for expected activities and such rate quoted must be evaluated, tenified for
market competitiveness by Consultant; also, while billing the quantum of QRO billing
should not exceed 5%o of the assessed BOQ billing value/quantity whichever is less.

9. Consultant must maintain one set of drawing (all building drawing) as client reviewed &
approved for SITE execution and this document shall be named as revision 1 (R1), with
date of revision, suffixed- This has the issue for construction status. Any revision
thereafter shall be in series R2, R3..and final as built will be R/AB (with date, suffixed).

10. Consultant should conduct, maintain weekly, monthly progress meeting & reports to track
and expedite site work; also, maintain monthly reports of work men, materials, Andhra
Pradesh state regulatory papers, statutory requirements update.

I l. Consultant should ensure quality of all materials at site, quantities of concrete,


reinforcement steel, cement mixtures and compressive strengths as per design &
standards, for the jobs at site.

t2. Consultant must ensure that the work should be of good qualities satisfying respective
Indian Standards or MDSS & conduct random suryey, testing with third parti-s. Maintain
such records for each building at various stages to record their building process & quality
track that followed.

13. Consultant should explain the scope, details of drawings to get an executable project
schedule for which the contractor & consultant are responsible to adhere without any
excuses other than force majeure (natural calamity clause only).

14. Consultant should track and certify'the progress for contractor payment as per the terms
agreed with respective contractors. Consultant must ensure proper coordination and line
of priority amongst various agencies, contractors, vendors, without clash of activities,
using their years of experience with proper planning.

15. Consultant should be able to forecast time-schedule delay, quality deterioration ahead of
time, well before completion of job and must take all necessary steps to correct (at
contractors cosQ by convincing contractors technically and reinstate proper condition
with minimum loss of time, acceptable to Client. Consultant should aiso-take steps to
penalize or terminate the contractor on defaulting grounds and reinstate the works at site
with alternate contractors at a minimum loss of time, acceptable to Client.

16. Consultant should visit site frequently to ensure the work quantrty, quality is on track, also
attend meeting invited by client Site Head at SITE as and when required.

17. Suggest, conduct, implement necessary third party tests whenever required and gather
quality information periodically and guide, implement, enforce corrective action time to
time.

18. Consultant must ensure proper safety standards are being suggested, implemented at site
by the contractors, agencies involved.

19. Consultant must coordinate closely with Project Head I Client for expediting the work
progress of contractors, insisting on quality etc., and in case of any technical disputes
consultant must involve Client-Project Head for a final decision.

20. Consultant must provide six sets of finaU construction drawing cleared by Client and six
sets should be made available to client in which three sets will be given for field
execution. Also He should provide six (6) copies on CD/Pen Drive in readable form in
Any normal computer.

21. Consultant should provide as built (final) drawings in triplicate at the end of construction
Plant commissioning for Client records & future references.

22. Consultant should provide a manager In-charge and enough senior level Engineers,
assistants to handle project without any delay due to busy schedules of manager or senior
staff.

23. Consultant should certiff the final bills of contractors, agencies, vendors; and in case of
any dispute Client nominated Engineer In-charge, will lead the final decision based on site
conditions and merits.

24. Consultant employee should carry a photo identification card issued by the consultant
organization and it should be displayed while they visit I are at work/ enter SITE. No one
must carry mobile phones, smart phones, or any digital/electronic gadgets with-out client
approval, unless they are included in the mobile permit list by Client.

25. All workmen, staff, Engineers, consultant, contractors, vendors, shall be subjected for a
gate scrutiny while they leave work premises by Client nominated security staff as per
company policy, rules & regulations.

26. Defects liability

Defects are' generally regarded to include any deficiency in the quality of the works
including defects due to faulty material or workmanship. This may extend to design /
structural where it is part of the Consultant's responsibilities.

Defect liability period shall commence on the date of practical completion till .....

If during the defect liability period any defect is found, the Consultantmust, promptly and
at its cost repair, replace or otherwise make good ( in consultation with the Employer) the
defect as well as any damage to the facility caused by the defect. The Consultant will bear
all incidental costs, including any costs of removal associated with the repair, replacement
or making good of the defect or damage.

The following shall not be covered within the purview of defect liability:

i) Any act or omission of the Employer, its employees or agents


ii) Improper operation or maintenance of the works
iii) Use and operation ofthe works outside the specification
iv) Normbl wear and tear

The Employer shall give the Consultant notice of the defects as soon as practicable,
stating the nature of the defect and supporting evidence.

27. Arbitration:

All disputes arising out of this PO or WO / Term sheet shall, as far as possible be
amicably settled between the parties failing which all disputes, controversies and claims
arising out of or in connection with this PO or WO / Term sheet shall be finally settled
under the provisions of Arbitration and Conciliation Act, 1996. The arbitration
proceedings shall be conducted at Chennai and arbitration shall be conducted in English.
The Arbitration shall be conducted by a Sole Arbitrator mutually appointed by the
Parties. The Arbitral award shall be in writing, reasoned and will be final and binding on
the Parties. Neither Party shall disclose the existence, content or results of any arbitration
hereunder without the prior written consent of each of the other party.
