OTHER TERMS AND CONDITIONS

1. Terms of Payments 30% advance along with LOI /PO and balance 70% with all taxes, duties etc.
against Performa invoice before dispatch.
2. Technical Remarks Technical details shall be as per VTL’s manufacturing practice only.

GST shall be charged Extra at actual at the time of supply on Quoted value
of transformers, Freight & Transit Insurance, Type Test Charges etc.

Present Rate of GST shall be applicable as follows :

For Billing & dispatches within Gujarat, SGST@9% & CGST@9% shall be
applicable.

For Interstate Billing & Dispatches, IGST@18% shall be applicable.

6. Test All routine tests are included in the above price. Special /Type test if any
extra to your account which will be finalized mutually during finalization
meeting.
7. Validity of offer 7 days from the date of this offer.
8. Warranty The transformer supplied by us will be Guaranteed for a period of 12 months
from the date of commissioning or 18 months from the date of dispatch,
whichever, expires earlier.

Comments/Clarification:

1) Our scope is limited to supply of transformer. However, Installation, testing & commissioning at site,
unloading, handling, storing, assembling of transformer shall not be in our scope. Further, if required we shall
provide supervision of commissioning at an extra cost of Rs. 15,000/- per man day. To and fro lodging and
boarding shall be arranged by you.
2) We have quoted dry type transformer in line with IS-11171.
3) Losses shall be as per ECBC-2007.
4) Flux density shall be 1.73 T at rated voltage & frequency.
5) We have considered termination at HV side Inbuilt Cable Box. However in case Appended Cable
box is required to be provided then same shall be provided at an extra cost of Rs. 50,000 /- per
transformer.
6) All hardware shall be Zinc Passivated.
7) Overloading shall be as per IEC-60076.
8) Since our scope is limited to supply only, any site work shall not be in our scope.
9) Since we shall be provided space for NCT as per BOQ.
10) All routine tests as per IS 11171 in the event of order are included in the above price. We shall provide the
Special/ Type test reports for the similar/higher ratings. However, if any type/special test is required to be
conducted then same shall be conducted as per IS at an extra cost at our works. We shall not conduct
Dynamic short circuit type test even on chargeable basis.

Further, our offer is subject to the commercial terms and conditions enclosed.

LIST OF FITTINGS (For Dry type Transformer)

The Transformer shall have the following fittings:

1) Base channel skid type suitable for mounting on floor or plinth.

2) 4 nos. Bi-directional Rollers.
3) 2 nos. Earthing Terminals.
4) Lifting Lugs.
5) Off Circuit Tap Links
6) Paint Shade: RAL – 7032 (Siemens Grey)
7) Sheet steel Enclosure type IP-23 for Indoor installation
8) Limit Switch on HT side doors of Enclosure.
9) Inspection Cover.
10) 1 No. Winding Temperature Scanner (Digital) with alarm / Trip contacts.
11) One no. PT -100 Type RTD sensors per LV winding.
12) 3 Nos. Surge Arrestors on HV side.

Important Notes:-

1) Cable termination kits, Cable Glands and lugs are not in our scope of supply.
2) Neutral CT has not been considered in our scope, unless specifically agreed by us.
3) As per Industry Practice, the main Transformer is despatched in unpacked condition
4) Cable Box for voltage upto 1000 Volts will be 3 phase + Neutral. Additional neutral will be provided
outside for earthing. Earthing Bar for additional earthing will not be in our scope even though asked for
in specification unless separately agreed.
5) Turns Ratio Error shall be +/-0.5%.

Annexure -II

COMMERCIAL TERMS & CONDITIONS

01) PRICE:

The price quoted is net and include delivery of equipment ex-Vadodara works in packed or unpacked condition
as per our standard practice. Our liability will cease as soon as the goods are notified for despatch from our
Vadodara Works.

02) PRICE BASIS:

a) Unless otherwise indicated in our offer, the quoted prices are subject to variation as per the latest
applicable IEEMA-P.V.C. formula without ceiling with base indices as prevailing on the 1 st day of the
calendar month one month prior to the date of quotation.
b) In the event, the drawings are not approved within seven days of its submission unconditionally,
agreed price will not be valid and prices charged will be those prevailing on the date of final freezing
of the order.

03) DUTIES, TAXES, OCTROI AND OTHER LEVIES:

GST shall be charged extra at actual at the time of supply on Quoted value of transformers, Freight &
Transit Insurance, Type Test Charges etc.

Present Rate of GST shall be applicable as follows:

For Billing & dispatches within Gujarat, SGST@9% & CGST@9% shall be applicable.

For Interstate Billing & Dispatches, IGST@18% shall be applicable.

04) FREIGHT & UNLOADING AT SITE:

a) The price quoted does not include any freight or insurance charges. The transformer would be despatched
on freight to pay basis.

b) Unloading at site is not our scope of service. Detention charges of Transformer for delay in unloading at site
shall also be borne by you.
05) TRANSIT INSURANCE:

Transit insurance shall be arranged by you at your cost with your underwriters.

06) DESPATCH:

Material will be booked through any of our approved road carriers up to Transporters go down nearest to the
destination or as per despatch instructions from you. Please give full despatch instruction at the time of placing
the order.

07) DELIVERY PERIOD:

The delivery period quoted is to be reckoned from the date of receipt of your firm, technically and
commercially clear detailed order accompanied by advance payment (if applicable) as stated in clause 8 and on
receipt of approval of drawings and unconditional manufacturing clearance in writing.

The requirement of delivery period will be deemed to have been met when the equipment is notified as being
ready for inspection/delivery, whichever is earlier.

The delivery period is further subject to ‘Force-Majeure’ conditions as stated in clause and timely availability of
raw-materials.

08) TERMS OF PAYMENT:

20% interest free advance of the contract value along with purchase order and balance along with full taxes and
duties and IEEMA variation (if agreed) on intimation of the goods being ready for dispatch.
The balance payment shall be made within five days of the intimated date of readiness of the
equipment, failing which the Purchaser shall be liable to pay interest charges at the rates in force
and storage charges as stated in clause 10.
09) ‘FORCE - MAJEURE CONDITIONS’ :

The Seller shall have no liability for any failure to perform or delay in performance of its obligations under the
contract caused by "force majeure" event including without limitation:
i. Natural phenomena such as weather conditions, floods, droughts, earthquake and epidemics
ii. Act of any Government Authority, domestic or foreign such as war, declared or undeclared
quarantines, embargoes, licensing control or production, distribution restrictions etc.
iii. Accidents and disruption on account of fires, explosions, sabotage etc.
iv. Transportation delay due to Force Majeure or accidents.
v. Strikes and lock-outs of Seller's suppliers/Seller's works.
vi. Non availability of suitable Railway Wagon/Road Trailer for the purpose of transportation.
vii. Non fulfillment of any contractual obligation by the Buyer.
Viii Other conditions and causes beyond the reasonable control of the supplier.

In case of any of the force majeure even the time for delivery shall be automatically extended by a reasonable
period.

10) STORAGE:

Should storage of goods be necessary owing to despatch destination being delayed due to your instructions or
lack thereof or non availability of transport facilities, the cost of such storage, demurrage and incidental charges
at the rate of 1% of the value of equipment ready for despatch per week or part thereof, will be to your account
and the goods shall be stored entirely at your risk.

11) GUARANTEE:

The transformer supplied by us will be guaranteed for a period of 12 months from the date of commissioning or

18 months from the date of despatch, whichever, expires earlier. This guarantee is subject to be installation,
commissioning & operation and maintenance of the transformer as per IS - 10028.

In the event the transformer is required to be sent back to our works for repairs for any manufacturing defects
during the guarantee period, the transformer shall be repaired by us free of charges; however the to & fro
freight charges and transit insurance shall be borne by you.

We shall also not be liable for any consequential loss or damages due to problem/failure of our transformers.

12) INSPECTION:

In the event of an order, the transformer/s will be manufactured as per the agr eed specifications and
approved drawings as may be applicable. Further comprehensive and stringent quality control checks are
applied at various stages of manufacture to ensure satisfactory quality and workman shop. The supplies are
also covered by our guarantee clause.

Type/Special Tests shall be carried out at an extra cost as per our offer.

Third Party Inspection cost including incidental cost shall be borne by you.

13) PERFORMANCE FIGURE:

The performance figure are based on the data furnished by the manufacturers/suppliers of major component
i.e. laminations, copper, bushings, oil etc. and they are subject to clearance as specified by ISS. However any
minor deviations from the figures should not be a reason for the rejection of the transformers.

14) VALIDITY:

Our offer will remain open for your acceptance for a period of 15 days or specifically mentioned elsewhere,
whichever is earlier from the date thereof unless previously withdrawn.

15) MODE OF PAYMENT:

All payments will be released / issued by way of 'payable at par cheque' / DD, payable at Baroda, and bank
charges, if any applicable for that will be borne by the purchaser.

16) CANCELLATION:

The purchaser shall not unilaterally cancel the order once placed. Such an action on the part of the purchaser
will result in the advance being appropriated.

17) ARBITRATION:

In the event of any question or dispute arising under these conditions or any special conditions of contract or in
connection with this contract, the same shall be referred to the award of an arbitrator to be nominated by the
Purchaser and an arbitrator to be nominated by Voltamp, and in the case of the said arbitrators not agreeing,
then to the award of an umpire to be appointed by the arbitrators in writing before proceeding on the reference

and the decision of the arbitrators or in the event of their not agreeing, of the Umpire appointed by them shall
be final and conclusive and the provision of the India
Arbitration Act 1940 and of the rules there under and any statutory modification thereof shall be deemed to
apply and be incorporated in this contract.

18) JURISDICTION:

All disputes arising out of the contract are subject to justification of Vadodara Courts only.
