Deed of Reassignment and Retransfer

This document is a deed of reassignment and retransfer between an assignor and assignee. The assignor had acquired certain rights and interests from a business partnership agreement and is now exclusively assigning and transferring those rights and interests to the assignee. The assignee agrees to assume the obligations and duties of the assignor under the original agreement and pay the assignor a specified amount according to an attached payment schedule. Both parties and their representatives sign and witness the legal transfer and waiver of rights.

DEED OF REASSIGNMENT AND RETRANSFER

KNOW ALL MEN BY THESE PRESENTS:

This deed is created, organized, and duly executed this [SPECIFY DATE OF EXECUTION] at the
[SPECIFY PLACE OF EXECUTION], by and between:

[SPECIFY COMPLETE NAME OF THE ASSIGNOR], herein referred to as the “Assignor”, is of legal
age, [SPECIFY CIVIL STATUS (ex. Single, married and etc.)], and a resident of [SPECIFY

And

[SPECIFY COMPLETE NAME OF THE ASSIGNEE], herein referred to as the “Assignee”, is of legal

WITNESSETH

WHEREAS, the Assignor is an indispensable party in relation to a business partnership agreement


and, as a party to the said contract, has duly acquired certain rights and interests specifically over the
partnership properties and other types of assets;

WHEREAS, the Assignor, for all intents and purposes, exclusively assigns and transfer [his/her] rights
and interests which originated from the operation and implementation of the business partnership
agreement to the ASSIGNEE;

NOW, THEREFORE, TO ALL WHOM IT MAY CONCERN: the undersigned parties fully agree and
adhere to the following terms and conditions, to wit;

The Assignee, in consideration of the foregoing reassignment and transfer, shall assume and perform
all the obligations and duties of the Assignor, as specified under the principal agreement;

The Assignee is bound to pay the Assignor the amount of [SPECIFY AMOUNT] in lieu of the foregoing
transfer and assignment of rights. A complete and substantial copy of the payment schedule and
terms are attached to this document as to this document. The Assignee fully agrees to be bound by
the terms and conditions of the principal contract and manifests [his/her] full commitment to adhere
and observe the mandate and terms of the said Agreement;

The Assignor explicitly and legally waives [his/her] rights and interests over the business partnership
agreement.

In WITNESS WHEREOF, the undersigned parties and/ or their respective authorized representatives
