    ADDENDUM TO THE MAIN AGREEMENT

    THIS Addendum to the main AGREEMENT made on1st July 2017 day at Delhi hereof between

    SUGAL & DAMANI UTILITY SERVICES PRIVATE LIMITED, a Company incorporated and registered
    under the provisions of the Companies Act, 1956 and having its corporate office at 6/35, W.E.A, Karol Bagh
    110005 (hereinafter referred to as SDUS) which term shall, unless it be repugnant to the context or meaning
    thereof, be deemed to mean and include its successors in interest and permitted assigns) of the FIRST PART.
    AND

    SAROJKANTA RADHANATH PANDA (Proprietor Name), Indian inhabitant, carrying on his business in the
    firm name & Style of M/s. Matrushakti Agency (Firm Name) as sole proprietor thereof, and having PAN
    CBVPS6830A , its registered office at C-3 Siddhi Ganesh Township, Paligam,Tal. Choryasi, Dist. Surat
    -394230 (Office Address) and residence address at C-3 Siddhi Ganesh Township, Paligam,Tal. Choryasi, Dist.
    Surat-394230
    (Residence Address), India

    (hereinafter referred to as Distributor) which expression shall, unless repugnant to the context or meaning
    thereof, include its successor in interest and permitted assigns) of the SECOND PART;

    SDUS and Distributor are hereinafter collectively referred to as Parties and separately as Party.

    WHEREAS
    1. SDUS is engaged in the business of providing the online distribution/processing of transactions of Mobile,
    DTH recharges, Reservations, Money Remittance, Cash Cards, Bill Payments, Insurance, Wallets, CMS
    (Cash Point), E-shopping etc, and it also has requisite IT-infrastructure and experience for engaging itself
    with - distributors for the distribution of online services.
    2. Distributor is inter alia engaged in the business of Money Transfer.
    3. Both the parties have agreed to modify / revise /amend certain terms of the main agreement made on
    19th August, 2017(date).

    NOW THEREFORE THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED AND


    DECLARED AS FOLLOWS:
    1. Representation and warranties clause : Each party hereby confirm that, if any of the party is eligible to
    be registered under the GST Act, 2017, then they have duly registered under the said act and shall also
    complied with the other GST provisions. Distributor will submit his GSTIN to SDUS and also undertakes
    that they shall pay their respective tax liability as applicable on them under the GST Act, 2017 from time to
    time without any delay.
    2. Indemnity Clause : In case of failure to pay the tax Liability under GST Act, 2017 or non reflection of
    GST Input of any of the party, then such party shall be liable to indemnify the other party on account of non
    entitlement to receive the input tax credit due to such failure of the concerned party.
    3. Provision for raising Debit Notes : If the tax liability under the GST Act of one party borne by the other
    party then the other party has the right to claim such amount of tax liability from the party whose tax
    liability is paid off by raising debit note for availing input tax credit.
    4. Relationship between Parties: Distributor and SDUS, its employees, agents and representatives shall provide
    services on a non-exclusive basis. Relationship between parties will vary on case to case basis and nothing
    contained herein shall be deemed to create any partnership, joint venture, employment between the parties
    hereto or between Distributors and SDUS s representatives and employees. The principal-agent
    relationship is an arrangement in which one entity legally appoints another to act on its behalf, the agent

    acts on behalf of the principal and should not have a conflict of interest in carrying out the act. The
    "principal to principal" mean that the Service Provider would work on an independent basis.
    5. All the terms used herein but not defined herein shall have the meaning as assigned to them in the
    Agreement.
    6. SDUS and Distributor hereby agree to add/modify certain clauses of the Agreement in the manner as
    mentioned above and both the parties hereby further confirm that existing clauses of the Agreement shall
    stand replaced with Revised/ Modified clauses as mentioned above.
    7. SDUS and Distributor hereby declares, covenants, engages and agrees that all terms and conditions
    covenants and obligations of the Agreement, shall be continuing and binding and further the same shall be
    read and construed together with Agreement and this Addendum in all respects, save and except as specified
    herein.
    This Addendum to the main agreement shall be governed by and construed in accordance with the laws of India.

    IN WITNESS WHEREOF the Parties hereto have caused these Presents to be executed on 08 th the day, February
    month and 2015 year first hereinabove written.
