APPOINTMENT LETTER
We at Wings Biotech, hereafter known as the Company, are pleased to appoint you
as {Designation} in our organization based on following terms and conditions of
employment.
1.1. Position
You will perform the capacity of {Designation), at Band/Level (__) within the
structure of the Company, effective {__date__}, reporting to the
{_designation of the Reporting Manager_}. You may be required to report to
any other officer of the Company depending on the nature of the
assignment given to you or as deemed fit by the Management of the
Company.
1.2. Remuneration
a. The Company will expect you to work with a high standard of initiative,
efficiency and economy.
b. Whilst in the employment of the Company, you are not allowed to be
employed by any other company on a temporary or part-time basis or

offer your services with or without pay to any person, legal entity or
public authority or to be occupied in your own business without the
express prior consent of the Company.
c. You shall be reporting to your senior as per the hierarchy level in the
Company.
d. Your main responsibility shall be to ensure that the work assigned to you
by your seniors
is duly completed in stipulated time and you will also be responsible for
your team members/reportees.
e. You will be responsible for safekeeping and return in good condition and
order of all Company property, which may be in your use, custody or
charge.
You will render your services presently at the Delhi Office. However, your
services are liable to be transferred/lent to any place/branch of our
organization or subsidiary and/or associated company in India, whether
existing or established in future at the sole discretion of the Management
subject to terms as outlined in this Employment Agreement. Upon being
transferred / lent, you shall be governed by the conditions of service/rules
and regulations as prevalent at that place.

You would be entitled to leave and other benefits as per the prevailing rules of
the company.
3. WORKING HOURS
The Companys normal hours of work will be as per applicable law. Depending on
the workload, you may be required to work longer hours and on weekends in
certain instances.
4. RETIREMENT
Your age of retirement from the services of the company will be 58 years. The
proof of age shall be the one recorded in the school leaving certificate or birth
certificate, as submitted and recorded in the records of the company.
You agree that the terms and conditions applying to your employment are strictly
confidential. Any disclosure of these terms and conditions to third parties without
limitation to operations, trade and business information (including other
employees of the Company or any other associate or affiliate of the Company)
constitutes a breach of your employment.
By signing this Agreement, you undertake that you will not during the term of
this Agreement and after termination thereof, howsoever occasioned,
communicate, use or divulge to any third party (except as required by the terms
and nature of your employment with the company) any of the plans, strategies,
programmes, trade secrets, accounts, financial information, market research,
customer lists, processes, inventions, designs, or other confidential information
concerning the business affairs of the Company, any affiliated Company, or its
clients.
As far as the Company is not already by law the owner of the intellectual
property rights arising in respect of any and all works created, you here by assign
to the Company and/or its affiliates all intellectual property rights arising in
respect of any and all works created, compiled and/or devised by you in the
course and scope of your employment with the company pursuant to this
Agreement. By virtue of this agreement, any intellectual property rights which
come into existence in the future in respect of any such work created, compiled
and/or devised by you in the course and scope of your contract with the
Company, shall vest in the Company and/or its affiliates upon their coming into
existence.
For the purposes of this clause, intellectual property shall include any trademark,
trade name, or service mark, any patent, registered design, copyright, design
right, topography right, application to register any of the aforementioned rights,
trade secrets, any right in unpatented know-how, any right of confidence and any
other intellectual or industrial property rights of any nature whatsoever in any
part of the world, including any License rights and the right to take legal action.

All plans, strategies, programmes, trades secrets, accounts , financial
information, market research, customer lists, data, records, reports, manuals,
financial statements, budgets, specifications, correspondence, indices , research
papers , letters or other similar documents(the nature of which is not limited by
the specific reference to the foregoing items) which are created , compiled or
devised or brought into being by you or have come into your possession in the
course of the employment and all copies hereof, and other property whatsoever
belonging to the Company such as laptops etc. which may be in your possession
or under your control , will be sole property of the Company , and all copies shall
be returned to the Company without any copies in whatever form withheld, if not
destroyed earlier. The provisions of this clause shall survive termination of this
agreement for whatsoever reason.
6. MEDICAL EXAMINATION
Your appointment is subject to you being medically fit; Company reserves the
right to get you medically examined by any medical practitioner nominated by
the Company and your further employment will depend on your being found fit.
7. TERMINATION
You acknowledge that the Company wishes you to devote your whole time and
attention to the service of the Company during the Term of your employment
with it. For this reason, during the term of your employment, you shall not take
up any other job/assignment in any capacity, whether remunerative or honorary,
and/or you shall not engage in any business of whatsoever nature without the
permission of the management in writing.

9. OTHER TERMS AND CONDITIONS
b. You shall throughout your service with the company, conduct yourself in a
manner befitting a responsible employee of the company and maintain
absolute integrity. In case your behavior or conduct is found wanting or
undesirable, the company reserves the right to terminate your services
without any compensation, notice or salary in lieu thereof.
f. Non-Solicitation:- Upon leaving the company you will not, without prior
written consent of the company, for a period of 12 (twelve) months from
the date of ceasing employment, canvass, solicit, interfere with or entice
away any person or customer of the Company. To prevent any potential
conflicts of interest or breaches of confidentiality, you will not accept an
appointment offered by a customer or any competitor of the Company.
10.Policy Guidelines
With the acceptance of this employment, you agree and confirm that during your
employment, you will be governed by the Companys Policies, as amended from
time to time. The policies are available on the Public Folder of all systems and
should be read and understood by you. In the event of any clarification with
same please contact the HR Department.
