PRITHVI HALDEA

Prithvi Haldea, an M.B.A. (1971) from BITS Pilani, is the Founder-Chairman of PRIME
Database (www.primedatabase.com), Indias premier database on the primary capital market
since 1989. PRIME has a large body of subscribers and is widely reported by the media.
Haldea is presently on the GOI Council of Experts for Financial Sector. He is also a
Member, among others, of SEBI Primary Market Advisory Committee and SEBI
Committee on Reviewing Disclosures and Application Forms in Public Issues. He is the
Chairman of PHDCCI Capital Markets Committee, Jury for ASSOCHAMs awards for CG and for CSR, Member
of the Editorial Board of ICSI, an Honorary Advisor of Association of Investment Bankers of India and Chairman of
Ibaadat Foundation.
In the past, Haldea was a member, among others, of Board of Central Listing Authority (SEBI), Trustee of NPS
Trust-PFRDA, GOI Task Force on Financial Redress Agency, FSDC Committee on Commission/Incentive Structure
of the Distributors of Financial Products, Central Government Nominee on the Governing Councils of ICAI and ICSI,
High-Level Committee of Finance Ministry on Corporate Bonds, Member of Board of Governors of Indian Institute
of Corporate Affairs, Investment Board of Postal Life Insurance, Quality Review Board (ICAI), Committees of MCA
on formulation and revision of Companies Act, Board of UTI Mutual Fund, SEBI Committee on Review of MAPIN,
SEBI Secondary Market Advisory Committee, Listing and Delisting Committees of BSE, Listing Committee of NSE
and Delisting Committee of DSE. Haldea has addressed hundreds of conferences.
As an investor protection activist, Haldea regularly raises issues with regulators and in the media. In the pursuit of
this objective, he has also launched two unique websites: www.watchoutinvestors.com: aggregating information on
economic defaulters which now lists over 3,00,000 cases and www.primedirectors.com: a databank now hosting
proles of over 24,000 professionals for listed companies to select independent directors. He had also created
www.iepf.gov.in: an investor education initiative in 13 languages.
Between 1971 and 1988, Haldea worked at senior positions in the corporate sector and also as a consultant to The
World Bank and the U.S. Department of Commerce.

Sudhir Bassi is an Executive Director in Capital Markets Practise Group in Mumbai.
Prior to joining Khaitan & Company, he was Managing Director at Morgan Stanley India
Company Private Limited. He has vast experience of over 23 years in capital markets
wherein he has advised companies on all types of capital raisings (public/private/
international both in equity and debt space), open offers, buy-backs, delistings etc.
During this period he has been associated with more than 120 equity offering, 40+ debt
offering, 25+ open offers, 6 delistings, and 8 buy-backs. He has been associated with
conceptualizing new concepts (e.g. shelf prospectus (for ICICI Bonds), book building (Tata Stell Bond Issue and
Nirma FPO), exchangeable bond (Tata Industries), index bond (ICICI), conditional IPO (TCS IPO) and executing
rst time transactions (e.g. QIP offering (Apollo Tyre) and OFS (ONGC)) etc. Prior to Morgan Stanley, he has
worked with JM Morgan Stanley Private Limited, JM Financial & Investment Consultancy Services Private Limited
and PNB Capital Services Limited.
Sudhir has been involved in dicussions with SEBI and Stock exchanges in relation to development of regulatory
framework for the Offer for Sale Mechanism, SEBI (Issue of Capital & Disclosure Requirement) Regulations, 2009,
SEBI (Issue and Listing of Debt) Regulations, 2008. Sudhir was also head of Capital Market-Policy Issues sub
group of the Industry Affairs Committee of Association of Investment Bankers of India (AIBI).

AKHIL MEHROTRA
Director-Downstream Business, BG Group
Akhil Mehrotra is currently working as Director Downstream Business in BGEPIL (a
shell group company) at their Mumbai ofce. Akhil joined BG Group (now a Shell group
company) in 2004 and has worked with Gujarat Gas Company limited, its subsidiary from
2004 to 2009 as Director Business Development and Regulatory Affairs before taking up
the current assignment. In the current role Akhil is responsible for the growth and operations
of the current downstream businesses and advocacy of policy & regulatory issues with
regulators and government.
Akhils area of expertise includes Business Development, Projects, Operations, Capital Markets and Policy & Regulations
and has an overall work experience of 25 years. Before joining BG he worked with Reliance group for 10 years in their
petrochemical, power and telecom businesses.
Akhil has played a key role in development of the Petroleum and Natural Gas Act 2006 and later was part of most of the
PNGRB committees which drafted the midstream & downstream regulations for oil & Gas sector in India. In 2012-13,
Akhil chaired and nalised the Vision 2030 Natural Gas Infrastructure in India, an Industry report commissioned by
PNGRB. The report has since been used by most of additional work on done on gas sector in India.
Akhil led the listing of Mahanagar Gas Limited, one of the most successful public offering in last 5 years. MGL listed on
July 1, 2016 on the Indian stock exchanges. Akhil is also a Director on the Board of MGL.
Akhil has spoken in various conferences in India as well as internationally on power, city gas development and policy &
regulatory issues. He has advised government/regulators of Kazakhstan and Tanzania on development of Gas laws in
their countries. Akhil is a mechanical engineer and a MBA in Finance. In addition to this he has done short term courses
with IIM Bangalore, Harvard, London and Kelloggs Business School. Akhil has a passion for travelling and reading.
CYRIL SHROFF
Managing Partner, Cyril Amarchand Mangaldas
With over 34 years of experience in a range of areas, including corporate and securities
law, disputes, banking, infrastructure, private client, nancial regulatory and others, he is
regarded and has been consistently rated as Indias leading corporate, capital markets
and nance lawyer.
He has been recognized as a legendary gure in the Indian legal community and
is consistently ranked as star practitioner in India by Chambers Global and other
directories. He is often regarded as the M&A King of India. He was awarded the ALB Managing Partner of the
Year for 2015.
He is member of the rst Apex Advisory Committee of IMC International ADR Centre (IIAC) and also a member
of the Advisory Board of the Centre for Study of the Legal Profession established by the Harvard Law School, a
member of the Advisory Board of the National Institute of Securities Markets (NISM) and on Board of Indian Institute
of Management, Trichy. He is a director on several boards and member of various committees. He also regularly
comments and advises on policy reforms in India.

NARENDRA OSTAWAL
Managing Director, Warburg Pincus India Pvt.Ltd.
Mr. Narendra Ostawal is the Managing Director at Warburg Pincus and is based in
Mumbai. He joined Warburg Pincus in 2007 and since then has been involved in the
rms investment advisory activities in India. Prior to joining Warburg Pincus, Mr. Ostawal
was with 3i, India and McKinsey & Company. Mr. Ostawal holds a Chartered Accountancy
degree from The Institute of Chartered Accountants of India and an M.B.A. from Indian
Institute of Management, Bangalore.

NISHANT FADIA
Group Chief Operating Ofcer, Prime Focus Ltd.
Nishant took up this role in August 2014 and is responsible for identifying new expansion
opportunities and driving overall operational efciencies for the group. Before this, for 14
years as its rst CFO, Nishant was the face of Prime Focus to the nancial community.
He took the company public in 2006. Nishant is a Chartered Accountant from the Institute
of Chartered Accountants of India (ICAI) and CPA from the American Institute of Certied
Public Accountants (AICPA) in the US.
RANU VOHRA

Ranu is one of the co-founders of the company and has spent the last fteen years in the
Indian nancial services industry, concluding several marquee transactions in Investment
Banking and Private Equity.
He believes that clarity of thought and integrity of opinion are the essence of deal making
and has tirelessly ingrained this motto in the organization culture at Avendus. Ranu has led
Avendus to become a leading nancial services rm with businesses spanning nancial
advisory services, wealth management and alternative asset management. His insistence on quality of service and a
result-oriented outlook is instrumental in ensuring the high success rate of deal closure that Avendus has achieved.
With his guidance, the Wealth Management and Alternate Asset Management verticals of Avendus are becoming
preferred partners for an increasing number of Indian and overseas clients.
A thought leader pursued by many, he has been a speaker at several international conferences on Private Equity,
Venture Capital and other nuances of money raising and business strategy.
Prior to founding Avendus, Ranu worked with Communications Equity Associates (CEA), a Tampa based boutique
investment bank, working with clients in Asia Pacic, particularly India. He has also worked with the Hinduja Group, one
of the top ten business groups in UK, in their investment banking and asset management company, Hinduja Finance
(now Hinduja TMT, one of Indias leading BPO companies in Insurance sector). At Hinduja Finance, Ranu was a part
of a team which handled a US$ 25 million book in private investments in automotive components, pharmaceuticals
and media companies. As a part of the process, Ranu took several auto ancillary companies public.
Ranu is an MBA from Faculty of Management Studies (FMS), New Delhi and has a B.Tech in Mechanical Engineering
from IIT Delhi.

where he is responsible for the origination, structuring, and execution of public equity
and equity-linked transactions
Prior to joining Deutsche Bank he spent 13 years in the Investment Banking Division of Merrill Lynch in India
in different roles including head of the Corporate Finance Group responsible for all investment banking execution,
Corporate coverage for Western India, Head of Debt Capital Markets and head of Equity Capital Markets business.
He was also deputed to Merrill Lynch Asia Pacic Hong Kong in 1997 for a 7 month stint in Debt Capital Markets
Sanjay has received his Post-graduate Diploma in Business Management from Indian Institute of
Management(IIM), Ahmedabad (1990-1992) and a Bachelor of Engineering (Mechanical) from National Institute
of Technology, NITK, Surathkal (1984-1988)
He has a good understanding of the Regulations and has worked towards bringing international best practices
in the Indian Capital Markets. He is also a part of various SEBI committees including the Primary Market
Advisory Committee for the last 5 years
He is ex-Chairman of Association of Investment Bankers of India (AIBI) and is currently a director at AIBI
SOMASEKHAR SUNDARESAN

Somasekhar Sundaresan is a lawyer practising in the areas of securities laws, insurance
law, competition law, company law and related commercial litigation and policy.
Somasekhar is actively involved in public policy governing the nancial sector and as
part of committees set up by the securities market regulator and the banking regulator;
he has drafted laws governing takeovers, insider trading and corporate governance in
the banking sector, as also drafting two versions of the proposed Indian Financial Code.
Somasekhar writes a fortnightly column in the Business Standard, teaches securities law in the Government Law
College, Mumbai and is an amateur mountaineer.

Sunder has over 24 years of work experience, mainly in the eld of nancial statement
assurance and accounting.
Over the last 17 years he has been helping Indian companies, across industries, to report
under different accounting frameworks viz. Indian GAAP, Ind AS, IFRS and US GAAP. He
has worked on 50+ such nancial reporting assignments. He has also been involved in
the role of a reporting accountant/ auditor on more than 20+ capital market transactions of
Indian companies raising capital on the stock exchanges in India and overseas.
He has also had the privilege of serving the Institute of Chartered Accountants of India in drafting of Indian
accounting standards, Ind AS, research publications, guidance notes as a member on some of ICAIs committees.
He has also actively contributed to the comment letter process on various accounting topics initiated both in India
and internationally.
He has also worked on various projects in the UK, South Africa, and UAE on their IFRS conversion assignments
and in particular in the practical implementation of accounting standards on nancial instruments.
Sunder has a Masters degree in Commerce, is an FCA, Grad. CWA and CIA.

The National Stock Exchange (NSE) is the leading stock exchange in India and
the fourth largest in the world by equity trading volume in 2015 (source: WFE
Statistics). NSE was the rst exchange in India to implement electronic or screenbased trading. NSE which began operations in 1994 has been the largest stock
exchange in India in terms of total and average daily turnover for equity shares

Established in 1875 under the balmy shade of Banyan trees, as the The Native Share &
Stock Brokers Association, BSE (formerly Bombay Stock Exchange) is popularly known
as the Share Bazaar. BSE, is Asias rst and now fastest Stock Exchange in world with a
speed of 6 microseconds. BSE is one of Indias leading exchange groups and has played a
prominent role in developing the Indian capital market. BSE is a corporatized and demutualised entity, with a broad
shareholder-base which includes two leading global exchanges, Deutsche Bourse and Singapore Exchange as

About AIBI
AIBI is a voluntary association of Investment Bankers in the country. It was formed in 1990s at the initiative
of Indian Capital Markets regulatory body, SEBI. All Merchant Bankers, registered with SEBI are eligible to be
members of AIBI. AIBI is Indias only association representing the investment banking industry.
On January 21, 2012 the name of the Association was changed to Association of Investment Bankers of
India to encompass all the activities carried out by the Investment Bankers other than Issue Management.
Currently, there are fty ve members of the association (List and prole of members available on our website)
AIBI strives to be an objective Industry body with a credible action plan and balances its role as an industry
body with its role of an inuencer so that there is never any conict of interest for the members. It ensure that
its activities are not conned to selected few but are available and are benecial to all members.
AIBI is represented, through its Chairman, on SEBIs Primary Market Advisory Committee, a forum that
provides an opportunity to present the industrys viewpoint on various issues. We have been working closely
with SEBI in the recent times in improving the efciencies of the Indian Capital Markets.
