MESSAGE FROM THE BOARD


On behalf of ASSOCIATION OF INVESTMENT BANKERS OF INDIA, we are very happy to welcome you all to the
6th Annual Summit.
We are grateful to Mr. UK Sinha for accepting our invitation to be the Chief Guest and we are very happy to have
him grace the occasion with his presence.
The Indian capital markets have evolved signicantly over the last two decades with stronger regulatory oversight,
more accountability on corporates, responsible investing and higher corporate governance standards. Though we
have reasons to be proud of improving diligence and compliance standards and a healthy state of the market, it
probably is the right time to evaluate how we compare with other developed markets and what elements differentiate
us. Thus, the theme of this Summit INDIAN CAPITAL MARKETS BENCHMARKING WITH THE BEST came
about.
The Summit begins with a Keynote Address by Mr. TV Mohandas Pai, an eminent speaker with a very comprehensive
experience both in the corporate sphere and more recently in the investing sphere. Mr. Pai will be speaking on the
topic INDIA in 2030 how tech entrepreneurs will make a 10t$ economy. This topic has gained signicant
importance at the back of the historic demonetisation move of November 2016 by the Government. We are sure
that in his prognosis, Mr. Pai will share his views on how technology will leap frog the Indian economy over the next
decade. We are grateful to Mr. Pai for accepting our invitation.
Mr. Pais Session is followed by Technical Session 1 Primary Markets / Mergers & Acquisitions / Secondary
Markets. In this Session, we hope to deliberate on the impact of Make in India concept on capital raising cycle,
the importance of M&A transactions in the life of the Corporates, where do we see the secondary markets in the
coming quarters and other related topics. Given the range of topics to be covered, we have an extended session
with accomplished professionals to debate these points within the overarching theme of benchmarking Indian
markets with our counterparts. The sessions would also cover key differences in the markets, including with respect
to regulatory issues, shareholder rights, transparency etc.
After this, we have Mr. UK Sinha share his views on what he perceives to be the key areas of differences between
the Indian markets and other jurisdictions and what are the key areas of focus for the regulator over the next few
years in the capital markets. We understand that focus on disclosure; investor protection and corporate governance
will be the key ingredients for every major change in the regulatory landscape.
The second Technical session is titled Capital Formation and Product Innovation. This is a well-represented
panel with professionals representing various capital market stakeholders. Macro factors affecting Capital formation,
launch of new products like InvITs and REITs, other need for developing newer products beyond the plain vanilla
products, distribution of new products are some of the topics likely to be discussed in this Session.
This is followed by Panel discussion on a topic of great relevance - Corporate Governance. Here we would like to
compliment SEBI and Stock Exchanges for their strict vigil on compliance with Corporate Governance Regulations.
Compliance with Corporate Governance can sometimes border on subjective interpretation of some provisions.
That is where the debate on Letter Versus Spirit comes into play and we hope the panellists are able to bridge
the divide between these two. We have very experienced panellists to debate this topic and we look forward to an
interesting discussion.
And we close our Summit with a few words of wisdom from Swami Sukhabodhananda. It has been the tradition in
all our Summits to have a Session, un-related to Finance and Capital markets but closely related to the behavioural
aspects of our living. In continuation of this tradition, we have invited Swami Sukhabodhananda for his guidance on
how to maintain composure even during turbulent times and the topic we have chosen is Spirituality in dealing
with turbulent times.

U. K. SINHA
Chairman, Securities and Exchange Board of India
Mr. U.K. Sinha was appointed as Chairman of Securities and Exchange Board of India
with effect from February 18, 2011.
Mr. Sinha, formerly from the Indian Administrative Service (IAS), brings with him rich
experience in nancial markets for more than a decade. Mr. Sinha has held several
responsible positions with distinction in the State and Central Governments. He was
Joint Secretary (Banking) and Joint Secretary (Capital Markets), Ministry of Finance, Government of India. He was
also the Chairman of the Working Group on Foreign Investment in India formed by the Government of India. He
was a member of several committees set up by the Government of India including the Committees on Liquidity
Management, Foreign Institutional Investors, Corporate Bond Market and Investor Protection.
Prior to taking over as Chairman at SEBI, he was Chairman and Managing Director of UTI Asset Management
Company Limited and also Chairman of Association of Mutual Fund in India. He has actively contributed to the
nancial sector reforms in the country. He is also credited with starting the micro pension movement in India.
Mr. Sinha was the Chairman of the Asia Pacic Regional Committee (APRC) of International Organization of
Securities Commission (IOSCO) during April 2011 to May 2013.
Recently Mr. Sinha was conferred the Economic Times Business Reformer of the Year Award 2014 for raising
standards of corporate governance, strengthening SEBI as an institution, and increasing condence in Indias
capital markets. He is also the recipient of the 10th CNBCTV18 India Business Leader Award 2014 for Outstanding
Contribution to the cause of Indian Business.

T. V. MOHANDAS PAI
Chairman, Manipal Global Education Services Pvt. Ltd.
Co-founder, Aarin Capital
Mr. T. V. Mohandas Pai is the Chairman of Manipal Global Education Services Pvt Ltd. He
co-founded AARIN Capital and 10 other venture funds to fund companies in Technology,
Ecommerce, Health Care and Life Science. He actively interfaces with key leadership in
governments and regulators to improve the business ecosystem.
He was awarded the Padma Shri by the President of India in 2015, and the Karnataka
Rojyotsava Award in 2004.
He had served on the Board of the Securities and Exchange Board of India (SEBI) and is currently the Chairman
of SEBI Primary Markets Advisory Committee. He is now on the Board of National Stock Exchange of India Limited
(NSE) and Havells India Limited.
Mohan joined Infosys in 1994 and was elevated to a Member of the Board in 2000. He was Infosyss CFO from 1994
to 2006. As CFO he was adjudged Indias best CFO multiple times. In 2006, he voluntarily relinquished the role
to lead Human Resources and Education & Research. At Infosys, Mohan led the rst listing of an India-registered
company on the NASDAQ and the rst sponsored secondary offering of American Depositary Shares by an Indian
company. Mohan stepped out of Infosys to pursue his other long-standing passion - higher education for human
development in June 2011.
Mohan has a keen interest in human development through education such as illiteracy eradication through the
promotion of primary education. In 2000, he along with certain other philanthropists set up the Akshaya Patra
Foundation, Bangalore - a mid-day meal program for school going children. Today, the mid-day meal program
feeds over 1.5 million children each day in 11,000 government schools across 10 Indian states. This program aims
to feed 5 million children each day by 2020. Mohan continues to make substantial personal contributions to the
program. This initiative has become the largest mid-day meal program in the world.
Mohan holds a bachelors degree in commerce from St. Josephs College of Commerce, Bangalore, and a
bachelors degree in law (LLB) from Bangalore University. He is also a Fellow Member of the Institute of Chartered
Accountants of India.

ISHITA VORA
Head Listing (Equity & Debt), National Stock Exchange of India Ltd.
Ishita leads the listings and the primary markets business at the National Stock Exchange
of India and works closely with entrepreneurs, bankers and regulatory authorities to
ensure easy access to growth capital. Ishita has experience in both buy and sell side and
has seen the investing community from both these angles over the last 16 years. Prior to
NSE, Ishita led Investment Banking for a domestic brokerage and was also instrumental
in setting up an infrastructure focused private equity fund in India. She started her career
in management consulting and led the CFO Advisory Forum for leading Asian corporates
during her consulting stint.

PRITHVI HALDEA

Prithvi Haldea, an M.B.A. (1971) from BITS Pilani, is the Founder-Chairman of PRIME
Database (www.primedatabase.com), Indias premier database on the primary capital market
since 1989. PRIME has a large body of subscribers and is widely reported by the media.
Haldea is presently on the GOI Council of Experts for Financial Sector. He is also a
Member, among others, of SEBI Primary Market Advisory Committee and SEBI
Committee on Reviewing Disclosures and Application Forms in Public Issues. He is the
Chairman of PHDCCI Capital Markets Committee, Jury for ASSOCHAMs awards for CG and for CSR, Member
of the Editorial Board of ICSI, an Honorary Advisor of Association of Investment Bankers of India and Chairman of
Ibaadat Foundation.
In the past, Haldea was a member, among others, of Board of Central Listing Authority (SEBI), Trustee of NPS
Trust-PFRDA, GOI Task Force on Financial Redress Agency, FSDC Committee on Commission/Incentive Structure
of the Distributors of Financial Products, Central Government Nominee on the Governing Councils of ICAI and ICSI,
High-Level Committee of Finance Ministry on Corporate Bonds, Member of Board of Governors of Indian Institute
of Corporate Affairs, Investment Board of Postal Life Insurance, Quality Review Board (ICAI), Committees of MCA
on formulation and revision of Companies Act, Board of UTI Mutual Fund, SEBI Committee on Review of MAPIN,
SEBI Secondary Market Advisory Committee, Listing and Delisting Committees of BSE, Listing Committee of NSE
and Delisting Committee of DSE. Haldea has addressed hundreds of conferences.
As an investor protection activist, Haldea regularly raises issues with regulators and in the media. In the pursuit of
this objective, he has also launched two unique websites: www.watchoutinvestors.com: aggregating information on
economic defaulters which now lists over 3,00,000 cases and www.primedirectors.com: a databank now hosting
proles of over 24,000 professionals for listed companies to select independent directors. He had also created
www.iepf.gov.in: an investor education initiative in 13 languages.
Between 1971 and 1988, Haldea worked at senior positions in the corporate sector and also as a consultant to The
World Bank and the U.S. Department of Commerce.

V. BALASUBRAMANIAM
Chief Business Ofcer, BSE Ltd.
V Balasubramaniam (Bala) is the Chief Business Ofcer at the BSE (Bombay Stock
Exchange) and is currently in-charge of the Markets business of BSE encompassing
Equities, Equity Derivatives, ETFs, Currency Derivatives, Interest Rate Derivatives,
Mutual Fund Distribution and SME Platform. He is also in charge of all the new initiatives
planned by BSE including the setting up of Commodities Market and the international
exchanges in GIFT City.
He was instrumental in taking the BSE Currency Derivatives to achieve leadership
position with market share of over 45 % in a short span of 15 months.
He is part of the Executive Management Committee which oversees the day-today functioning of the exchange
and is a Board Member at the Central Depository Services of India Ltd, BSE Institute Limited, BSE SAMMAN Ltd
Indias rst CSR Exchange and the Futures Industry Association - Asia. Till recently he also served on the board
of ASIA INDEX PVT LTD a joint venture between BSE and S&P Dow Jones Index, BFSI Sector Skill Council, BSE
Investments, Bank of India Shareholding Ltd, Calcutta Stock Exchange etc.
He has close to 25 years of experience in CAPITAL MARKETS & EXCHANGE industry and was also part of the
core team involved in setting up the National Stock Exchange of India as it rst professional team member and
was instrumental in setting up the Capital Market segment, creating the Nifty-50 index, setting up NCFM the rst
certication programme in stock markets and the equity derivatives segment among others. He also worked in
Reliance Group for almost a decade before joining BSE.
Bala is a Masters in Commerce from Mumbai University and a Rank holder from the Institute of Cost Accountants
of India inter alia.

Kotak Mahindra Capital Company Ltd.
With over 20 years of experience in the investment banking industry in India, Gesu has
rich experience across various equity products, including initial public offerings, follow
on offerings, Qualied Institutional Placements, international offerings and private equity
transactions across various sectors including consumer, healthcare, technology, banking
and nancial services. She has been associated with a number of marquee listings in
India and handled complex situations through the various capital market cycles over the
last two decades.
She has played an important role in the regulatory evolution of the Indian capital markets and has been involved
with many capital market innovations over the years. Her participation on various regulatory committees is an
endorsement of her understanding of the capital markets in India.
Gesu has been a Director of AIBI since September, 2011. She is the Chairperson on the Board of AIBI and a
member of the REITs Advisory Group of the BSE.
Gesu is a graduate in Economics Hons from Lady Shri Ram College, Delhi University and an MBA from Jamnalal
Bajaj Institute of Management Studies.

SUDHIR BASSI
Executive Director, Capital Markets Practise Group,Khaitan & Co.
Sudhir Bassi is an Executive Director in Capital Markets Practise Group in Mumbai.
Prior to joining Khaitan & Company, he was Managing Director at Morgan Stanley India
Company Private Limited. He has vast experience of over 23 years in capital markets
wherein he has advised companies on all types of capital raisings (public/private/
international both in equity and debt space), open offers, buy-backs, delistings etc.
During this period he has been associated with more than 120 equity offering, 40+ debt
offering, 25+ open offers, 6 delistings, and 8 buy-backs. He has been associated with
conceptualizing new concepts (e.g. shelf prospectus (for ICICI Bonds), book building (Tata Stell Bond Issue and
Nirma FPO), exchangeable bond (Tata Industries), index bond (ICICI), conditional IPO (TCS IPO) and executing
rst time transactions (e.g. QIP offering (Apollo Tyre) and OFS (ONGC)) etc. Prior to Morgan Stanley, he has
worked with JM Morgan Stanley Private Limited, JM Financial & Investment Consultancy Services Private Limited
and PNB Capital Services Limited.
Sudhir has been involved in dicussions with SEBI and Stock exchanges in relation to development of regulatory
framework for the Offer for Sale Mechanism, SEBI (Issue of Capital & Disclosure Requirement) Regulations, 2009,
SEBI (Issue and Listing of Debt) Regulations, 2008. Sudhir was also head of Capital Market-Policy Issues sub
group of the Industry Affairs Committee of Association of Investment Bankers of India (AIBI).

Managing Director, Saffron Capital Advisors Pvt. Ltd.
K. Srinivas, Founder and Promoter of Saffron Group, established the agship company,
Saffron Capital Advisors Pvt. Ltd., in January 2007. A Commerce graduate, Cost
Accountant and Chartered Accountant by qualication, he pursues his professional
career in capital markets and corporate related activities with absolute passion and
commitment. He started his career in 1986 in the Investment Department of Unit Trust of
India (UTI). Thereafter, he headed the Investment Banking Department as President of
UTI Securities. After spending more than two decades with the UTI Group, he started his
own group of companies under the Saffron brand to pursue his areas of interest. His dedication towards the growth
of emerging corporates has seen him successfully complete more than 50 IPOs and a host of other transactions.
His vast experience allows him to leverage his cross functional skills in Investment Banking, Strategy & Networking
and is the guiding force at Saffron Capital. His interests include yoga, meditation and related spiritual pursuits and
is also a teacher at the Art of Living.

AKHIL MEHROTRA
Director-Downstream Business, BG Group
Akhil Mehrotra is currently working as Director Downstream Business in BGEPIL (a
shell group company) at their Mumbai ofce. Akhil joined BG Group (now a Shell group
company) in 2004 and has worked with Gujarat Gas Company limited, its subsidiary from
2004 to 2009 as Director Business Development and Regulatory Affairs before taking up
the current assignment. In the current role Akhil is responsible for the growth and operations
of the current downstream businesses and advocacy of policy & regulatory issues with
regulators and government.
Akhils area of expertise includes Business Development, Projects, Operations, Capital Markets and Policy & Regulations
and has an overall work experience of 25 years. Before joining BG he worked with Reliance group for 10 years in their
petrochemical, power and telecom businesses.
Akhil has played a key role in development of the Petroleum and Natural Gas Act 2006 and later was part of most of the
PNGRB committees which drafted the midstream & downstream regulations for oil & Gas sector in India. In 2012-13,
Akhil chaired and nalised the Vision 2030 Natural Gas Infrastructure in India, an Industry report commissioned by
PNGRB. The report has since been used by most of additional work on done on gas sector in India.
Akhil led the listing of Mahanagar Gas Limited, one of the most successful public offering in last 5 years. MGL listed on
July 1, 2016 on the Indian stock exchanges. Akhil is also a Director on the Board of MGL.
Akhil has spoken in various conferences in India as well as internationally on power, city gas development and policy &
regulatory issues. He has advised government/regulators of Kazakhstan and Tanzania on development of Gas laws in
their countries. Akhil is a mechanical engineer and a MBA in Finance. In addition to this he has done short term courses
with IIM Bangalore, Harvard, London and Kelloggs Business School. Akhil has a passion for travelling and reading.

Managing Director, Institutional Investor Advisory Services India Limited (IiAS)
Amit Tandon (b. 1960), is the Founder and Managing Director of Institutional Investor
Advisory Services India Limited (IiAS).
IiAS is a SEBI registered research rm dedicated to providing participants in the Indian

AIBI is a voluntary association of Investment Bankers in the country. It was formed in 1990s at the initiative
of Indian Capital Markets regulatory body, SEBI. All Merchant Bankers, registered with SEBI are eligible to be
members of AIBI. AIBI is Indias only association representing the investment banking industry.
On January 21, 2012 the name of the Association was changed to Association of Investment Bankers of
India to encompass all the activities carried out by the Investment Bankers other than Issue Management.
