SALE DEED

SALE DEED OF PLOT OF LAND MEASURING 2 KANALS,


BEARING KHASRA NO.661, KHEWAT NO.217 KHATOONI NO. 375
SITUATED AT MOUZA MOUZA NOTHIA, TEHSIL AND DISTRICT
ISLAMABAD FOR A SALE CONSIDERATION OF RS: 5,00,000,00/(RUPEES Five CROR ONLY)

THIS deed of sale is made at Islamabad on this _____ day of ______


2016 between M/S City GAS, Registered Partnership firm and its
all the partners namely, (1). Raja Inayat Sultan Son of Raja Sultan
Bahadur, Resident of House No.1372 Street No.23 Sector G -14/4
Islamabad bearing NIC No. 37405-0352730-1, (2). Muhammad
Abdul Subhan Alvi Son of Muhaamd Abdur Rehman Alvi Resident
of House No.235, Street O 35, Sector F-10/1 Islamabad, having NIC
No.61101-6366821-3, (3). Raja Nisaar Ahmed Son of Raja Abdul
Manaan Resident of Bandi Kot Najibullah Tehsil and District

Haripur, Having NIC No.13302-2007562-3, hereinafter called the


Vendors which expression shall include their

legal heirs,

successors in interest and assignees etc.

AND

(1). Muhammad Azam son of Muhammad Yousaf Resident of


House No. 1 Street No.3 Shaheen Abad, G-T Road, Gujranwala,
Having NIC No34101-4042754-7, (2). Mukhtaar Khan Son of
Asghar Khan, Resident of Joint Mehmend Trucking Station, 29 KM,
Sundar Khurdpur, Multan Road, Lahore, having NIC No.162015402993-5, (3). Raja Nadeem Jahangir, Raja Waseem Shahzad,
Azhar Kiyani, Sons of Muhammad Jahangir Residnets of House
No.512 Street No.109 Sector I-8/4 having NIC No.37405-90358265, 37405-7543708-7, 37405-9217214-1,

expression

shall

hereinafter called the

include

their

legal

heirs,

successors-in-interest and assignees etc.


WHEREAS, plot of land measuring 2 Kanals, (10,880 square feet)
bearing Khasra No.661, khewat No.217 khatooni No. 375, being
80/328 share of total land measuring 8 Kanals 4 Marlas, situated
at Mouza Nothia, Tehsil and District Islamabad, is owned and
possessed by Vendors. Their names have duly been incorporated in

Record of Rights/ Periodical Record for the year 2003-04, which is


bounded as Under;
North by: Punjab Commerce College, 104 (Approx)
South By: Street, ____________________ 104 (Approx)

And whereas, vendors after purchase of above said specific Plot


obtained license for running of CNG Station from OGRA, bearing
No.___________, obtained NOCs from all the concerned departments
including Revenue Department, Cantonment Board Rawalpindi,
and License from Explosive Department. The vendors got approved
site Plan sanctioned from Cantonment Board, Rawalpindi/
Islamabad, and constructed superstructure, erected Kanopi, and
installed fitting fixture installation, plants, etc, and were doing
business of CNG filling stations through above said Registered Firm
M/S City GAS, duly registered with Registrar of firm Islamabad
Capital Territory, vide Reg. No. RF/ICT/4778/1999. The entire
property is covered by boundary walls.
And whereas, above said property along with land underneath is
free from all sorts of encumbrances, lien, charges, mortgages, Loan
and Taxes, etc and M/S City GAS a Registered Firm and its
partners are fully competent to alienate it and there is no bar on it.

And whereas, vendors have agreed to sell the above said property
along with land underneath, business of partnership, good will of
partnership along with partnership firm, its all the asserts and
rights to Vendees in equal share viz 1/3 share to each of second
party viz Muhammad Azam 1/3 Share, Mukhtar Khan 1/3 Share
and Raja Nadeem Jahangir, Raja Waseem Shahzad and Azhar
Kiyani 1/3 Share.

And whereas, for running Business, Rights of Firm M/S City


GAS, its Good Will, Licenses, NOCs, Plants and Asserts etc a
separate deed of amended partnership / change of consideration
and agreements have been executed between the parties.
And whereas, the above said land along with superstructure is
being transferred/ sold through instant sale deed against a sale
consideration of Rs. 5,00,000,00/- (Rupees Five Crore).

NOW THIS DEED WITNESSETH AS UNDER ;


1.

That vendors, M/S City GAS a registered Firm and its all
partners named above, do hereby sell /convey / transfer
/alienate the above said land along with superstructure,
together with all rights of Ownership, easement etc, to
Vendees in equal share as highlighted above, free from all
sorts of encumbrances, lien, charges, mortgages, Loan and
Taxes, etc.

That

Vendees

had

already

paid

an

amount

of

Rs.65,00,000/- (Sixty Five lacs) to Vendors and have now


paid Rs.4,35,00,000/- (Four cror & thirty five lac only) to
Vendors through pay orders, receipt of which is hereby

acknowledged.
That Vendors

have

delivered

actual

and

physical

possession of property, fully described above, at the spot to


the Vendees, who have now become Owners in possession

of said property in equal share as described above.


That the Vendors, M/S City GAS, a registered firm and its
partners have not left with any right, title or interest in the
above said property whereas Vendees have acquired all
rights, title and interest in the above said property in equal

share described above.


That Vendees shall be entitled to get the above said
property transferred/ mutated in the Revenue record and
Cantonment Board Rawalpindi, and all other Departments
in their names by producing copy of this deeds in absence
of the Vendors, who have no objection over the same,
rather

they

will

appear

before

all

the

concerned

departments, board or authority etc in this behalf if so

required by the Vendees.


That the vendors hereby covenant with the Vendees that
there is no defect in their title. In case the above said plot
of land and property or any portion thereof goes out of the

possession of the vendee due to defect in their title then


vendors shall pay back the double of the sale consideration
so received along with expenses etc, or the market value of
the said property of land or any portion thereof as the case
may be, prevailing at the relevant time, along with

expenses and damages.


That Vendors hereby assure that they have already cleared
the loan obtained against the above said property and got
redeemed the above said property and now there is no
amount of loan, Taxes or dues of amenities outstanding
against above said property or Firm. In case any amount of
loan/ liability detailed above is found due, the same shall
be the liability/responsibility of the Vendors who shall
clear the same and the Vendees shall not be liable to clear
the same.

IN WITNESS WHEREOF the Vendors/Executants have put their


respective hands on this deed after understanding its contents well
which have been read over and translated to them, of their own free
will, without any coercion, undue influence and misrepresentation,
in presence of all good senses and witnesses named hereunder on
the day, month and year first above mentioned.

Execution and completion of this deed has been admitted by the above
said Guardian/real father of vendor who subscribe to and abide by all
the terms and conditions set forth in the body of this deed. The vendor
has received full sale consideration receipt of which is hereby
acknowledged by the Guardian/father of the vendor before me.
