I, Ria Faith N. Bisahan, of legal age, Filipino, with address at Grema Village,
Casisang, Malaybalay City, Bukidnon and being the duly appointed Corporate
Secretary of D ASIAN HILLS BANK, INC. (A RURAL BANK), a rural banking
corporation, duly formed and existing under and by virtue of the laws of the
Philippines, with principal office at Malaybalay City after having sworn in accordance
with law HEREBY CERTIFIES:
THAT the members of the Board of Directors in its special meeting held on
July 10, 2015 approved the following:
BOARD RESOLUTION NO. 2015-07-65
BE IT RESOLVED AS IT IS HEREBY RESOLVED that D Asian Hills Bank,
Inc., a rural banking corporation duly organized and existing under the laws of the
Republic of the Philippines, duly represented by its Vice President for Operations,
ROY C. BUNA, of legal age, Filipino and a resident of Sumilao, Kisolon, Bukidnon,
herein referred to as the VENDOR and DIONISIO G. BUTARDO of legal age,
Filipino and a resident of Zone 6, Poblacion, Lantapan, Bukidnon, herein referred to
as the VENDEE;
THAT for and in consideration of EIGHTY THOUSAND PESOS (P 80,
000.00) Philippine currency, paid by the VENDEE and receipt of which is hereby
acknowledged and confessed by the VENDOR to its entire satisfaction, the
VENDOR hereby SELLS, CEDES, TRANSFERS and CONVEYS, and by these
presents has sold, ceded, transferred and conveyed, in a manner that is absolute
and irrevocable, the above described property, unto and in favor of the VENDEE,
his successors and assigns, free from all liens and encumbrances of any kind
whatsoever;
Cadastral Lot No. 4307, Cad-653 (Lot No. 08-004), situated in the Barangay of
Kaatuan, Municipality of Lantapan, Province of Bukidnon, Island of Mindanao.
Bounded on the N Sec. 07; E Steep bank; S Lot 4308; Cad-653; containing an
area of TWENTY SIX THOUSAND (26, 000) square meters, more or less
THAT, of which said VENDOR is the registered sole and exclusive owner of
the above-described property, its ownership is being evidenced by TAX
DECLARATION NO. 02-11-12518;
THAT, that the vendor warrants valid title and peaceful possession of the
property herein sold and conveyed, and further declares that the same is free from
all liens and encumbrances of any kind whatsoever;
THAT, that the VENDOR warrants that the property herein sold and
conveyed has never been and is not tenanted.
RESOLVED FURTHER, that DAHBI Vice President for Operations, ROY C.
BUNA, be authorized as the representative of the Corporation to process
applications, and enter into arrangements under such terms and conditions as
herein Officer may deem necessary and to accordingly execute, sign, deliver and/or
perform any and all contracts, instruments, documents or writings in consonant with
the primordial interest and purpose of the Corporation;
RESOLVED FINALLY, that the payment of capital gain tax and all other
expenses incurred during the transfer of the Title will be shouldered by the herein
VENDEE and that the sale is in as is where is basis.
THAT the said resolution is not contrary to the By-Laws of the Corporation
and is in full force and effect.
