TheProgramislicensedasamultiproductpackageandincludestheSupportingPrograms
identifiedbelow.LicenseeisauthorizedtoinstallandusesuchSupportingProgramsonlyto
supportLicensee'suseofthePrincipalProgramunderthisAgreementandwithinthelimitsofthe
ProofsofEntitlementfortheProgram(unlessbroaderrightsareprovidedelsewhereinthis
LicenseInformationdocument).Thephrase"tosupportLicensee'suse"wouldincludeonlythose
usesthatarenecessaryorotherwisedirectlyrelatedtoalicenseduseofthePrincipalProgramor
anotherSupportingProgram.TheSupportingProgramsmaynotbeusedforanyotherpurpose.
LicenseeisnotauthorizedtotransferorremarkettheSupportingProgramsseparatefromthe
PrincipalProgram.ASupportingProgrammaybeaccompaniedbylicenseterms,andthose
terms,ifany,applytoLicensee'suseofthatSupportingProgram.Intheeventofconflict,the
termsinthisLicenseInformationdocumentsupersedetheSupportingProgram'sterms.When
Licensee'srighttousetheProgramexpiresorterminates,Licenseemustdiscontinueuse,
destroyorpromptlyreturnallcopiesoftheSupportingProgramstothepartyfromwhom
LicenseeacquiredtheProgram.IfLicenseedownloadedtheSupportingPrograms,Licensee

Contract(NotavailabletonewLicensees)
IBMmay,atitssoleandexclusivediscretion,agreetomakeavailabletoLicenseelicensestouse
certainversionsofProgramsundertheContractlicensetypethatarenolongermarketedbyIBM
("LegacyPrograms").Allsuchlicenses,indicatedbythenotation"Contract",withrespecttothe
ProofofEntitlement(PoE),mayonlybeusedtoexpandLicensee'suseofsuchLegacy
ProgramsforwhichLicenseealreadyhasarighttouseatthetimeLicenseeisgrantedadditional
rightsunderthisAgreement.LicenseemayinstallandusetheLegacyProgramsuptothe
amountandinthemannerauthorizedinthePoE.Licensee'suseofallLegacyProgramswillbe
governedbyandsubjecttotheterms,conditions,andrestrictionsoftheSPSSlicenseagreement
underwhichLicenseeacquiredrightstousetheProgram.Undernocircumstanceswilltheterms
oftheSPSSlicenseagreementbeinterpretedtoexpandLicensee'srighttousetheLegacy
ProgramsbeyondtheamountorinamannernotauthorizedinthePoE.

1.Definitions
"AuthorizedUse"thespecifiedlevelatwhichLicenseeisauthorizedtoexecuteorrunthe
Program.Thatlevelmaybemeasuredbynumberofusers,millionsofserviceunits("MSUs"),
ProcessorValueUnits("PVUs"),orotherlevelofusespecifiedbyIBM.
"IBM"InternationalBusinessMachinesCorporationoroneofitssubsidiaries.
"LicenseInformation"("LI")adocumentthatprovidesinformationandanyadditionalterms
specifictoaProgram.TheProgram'sLIcanbefoundintheProgram'sdirectory,bytheuseofa
systemcommand,orasabookletincludedwiththeProgram.
"Program"thefollowing,includingtheoriginalandallwholeorpartialcopies:1)machine
readableinstructionsanddata,2)components,files,andmodules,3)audiovisualcontent(such
asimages,text,recordings,orpictures),and4)relatedlicensedmaterials(suchaskeysand
documentation).

ThisAgreementincludesPart1GeneralTerms,Part2CountryuniqueTerms(ifany)andthe
LIandisthecompleteagreementbetweenLicenseeandIBMregardingtheuseoftheProgram.
ItreplacesanypriororalorwrittencommunicationsbetweenLicenseeandIBMconcerning
Licensee'suseoftheProgram.ThetermsofPart2mayreplaceormodifythoseofPart1.Tothe
extentofanyconflict,theLIprevailsoverbothParts.
3.LicenseGrant
TheProgramisownedbyIBMoranIBMsupplier,andiscopyrightedandlicensed,notsold.
IBMgrantsLicenseealimited,nonexclusive,nontransferablelicenseto1)download,install,and
usetheProgramduringtheevaluationperioduptotheAuthorizedUsespecifiedintheLIsolely
forinternalevaluation,testing,ordemonstrationpurposesonatrialbasis2)makeandinstalla
reasonablenumberofcopiestosupportsuchAuthorizedUse,and3)makeabackupcopy,all
providedthat
a.LicenseehaslawfullyobtainedtheProgramandcomplieswiththetermsofthisAgreement
b.thebackupcopydoesnotexecuteunlessthebackedupProgramcannotexecute
c.Licenseereproducesallcopyrightnoticesandotherlegendsofownershiponeachcopy,or
partialcopy,oftheProgram
d.LicenseemaintainsarecordofallcopiesoftheProgramandensuresthatanyonewhouses
theProgram(accessedeitherlocallyorremotely)1)doessoonlyonLicensee'sbehalfand2)
complieswiththetermsofthisAgreement
e.Licenseedoesnot1)usetheProgramforproductivepurposesorotherwiseuse,copy,modify,
ordistributetheProgramexceptasexpresslypermittedinthisAgreement2)reverseassemble,
reversecompile,otherwisetranslate,orreverseengineertheProgram,exceptasexpressly
permittedbylawwithoutthepossibilityofcontractualwaiver3)useanyoftheProgram's

SupportingProgramsonlytosupportthisProgram,andsubjecttoanylimitationsinthis

restrictions,LicenseeshouldcontactthepartyfromwhomLicenseeobtainedtheSupporting

3.1Updates,Fixes,andPatches

WhenLicenseereceivesanupdate,fix,orpatchtoaProgram,Licenseeacceptsanyadditional
ordifferenttermsthatareapplicabletosuchupdate,fix,orpatchthatarespecifiedinitsLI.Ifno
additionalordifferenttermsareprovided,thentheupdate,fix,orpatchissubjectsolelytothis
Agreement.IftheProgramisreplacedbyanupdate,Licenseeagreestopromptlydiscontinue
useofthereplacedProgram.
3.2TermandTermination
TheevaluationperiodbeginsonthedateLicenseeagreestothetermsofthisAgreementand
endsupontheearliestof1)theendofthedurationorthedatespecifiedbyIBMineitherthe
LicenseInformationoratransactiondocumentor2)thedateonwhichtheProgramautomatically
disablesitself.LicenseewilldestroytheProgramandallcopiesmadeofitwithintendaysofthe
endoftheevaluationperiod.IfIBMspecifiesintheLIthatLicenseemayretaintheProgram,and
Licenseeelectstodoso,thentheProgramwillbesubjecttoadifferentlicenseagreement,which
IBMwillprovidetoLicensee.Inaddition,achargemayapply.
IBMmayterminateLicensee'slicenseifLicenseefailstocomplywiththetermsofthis
Agreement.Ifthelicenseisterminatedforanyreasonbyeitherparty,Licenseeagreesto
promptlydiscontinueuseofanddestroyallofLicensee'scopiesoftheProgram.Anytermsofthis
AgreementthatbytheirnatureextendbeyondterminationofthisAgreementremainineffectuntil
fulfilled,andapplytobothparties'respectivesuccessorsandassignees.
THEPROGRAMMAYCONTAINADISABLINGDEVICETHATWILLPREVENTITFROM
BEINGUSEDAFTERTHEEVALUATIONPERIODENDS.LICENSEEAGREESNOTTO
TAMPERWITHTHEDISABLINGDEVICEORTHEPROGRAM.LICENSEESHOULDTAKE
PRECAUTIONSTOAVOIDANYLOSSOFDATATHATMIGHTRESULTWHENTHE
PROGRAMCANNOLONGERBEUSED.
4.Charges
ThereisnochargefortheuseoftheProgramforthedurationoftheevaluationperiod.

6.LicenseeDataandDatabases
ToassistLicenseeinisolatingthecauseofaproblemwiththeProgram,IBMmayrequestthat
Licensee1)allowIBMtoremotelyaccessLicensee'ssystemor2)sendLicenseeinformationor
systemdatatoIBM.However,IBMisnotobligatedtoprovidesuchassistanceunlessIBMand
LicenseeenteraseparatewrittenagreementunderwhichIBMagreestoprovidetoLicenseethat
typeofsupport,whichisbeyondIBM'sobligationsinthisAgreement.Inanyevent,IBMuses
informationabouterrorsandproblemstoimproveitsproductsandservices,andassistwithits
provisionofrelatedsupportofferings.Forthesepurposes,IBMmayuseIBMentitiesand
subcontractors(includinginoneormorecountriesotherthantheoneinwhichLicenseeis
located),andLicenseeauthorizesIBMtodoso.
Licenseeremainsresponsiblefor1)anydataandthecontentofanydatabaseLicenseemakes
availabletoIBM,2)theselectionandimplementationofproceduresandcontrolsregarding
access,security,encryption,use,andtransmissionofdata(includinganypersonallyidentifiable
data),and3)backupandrecoveryofanydatabaseandanystoreddata.Licenseewillnotsend
orprovideIBMaccesstoanypersonallyidentifiableinformation,whetherindataoranyother
form,andwillberesponsibleforreasonablecostsandotheramountsthatIBMmayincurrelating
toanysuchinformationmistakenlyprovidedtoIBMorthelossordisclosureofsuchinformation
byIBM,includingthosearisingoutofanythirdpartyclaims.
7.LimitationofLiability
ThelimitationsandexclusionsinthisSection7(LimitationofLiability)applytothefullextentthey
arenotprohibitedbyapplicablelawwithoutthepossibilityofcontractualwaiver.
7.1ItemsforWhichIBMMayBeLiable
Circumstancesmayarisewhere,becauseofadefaultonIBM'spartorotherliability,Licenseeis
entitledtorecoverdamagesfromIBM.RegardlessofthebasisonwhichLicenseeisentitledto
claimdamagesfromIBM(includingfundamentalbreach,negligence,misrepresentation,orother
contractortortclaim),IBM'sentireliabilityforallclaimsintheaggregatearisingfromorrelatedto
eachProgramorotherwisearisingunderthisAgreementwillnotexceedtheamountofany1)
damagesforbodilyinjury(includingdeath)anddamagetorealpropertyandtangiblepersonal
propertyand2)otheractualdirectdamagesuptoU.S.$10,000(orequivalentinlocalcurrency).
ThislimitalsoappliestoanyofIBM'sProgramdevelopersandsuppliers.Itisthemaximumfor
whichIBManditsProgramdevelopersandsuppliersarecollectivelyresponsible.

8.ComplianceVerification
ForpurposesofthisSection8(ComplianceVerification),"EvaluationProgramTerms"means1)
thisAgreementandapplicableamendmentsandtransactiondocumentsprovidedbyIBM,and2)
IBMsoftwarepoliciesthatmaybefoundattheIBMSoftwarePolicywebsite
(www.ibm.com/softwarepolicies),includingbutnotlimitedtothosepoliciesconcerningbackup,
subcapacitypricing,andmigration.
TherightsandobligationssetforthinthisSection8remainineffectduringtheperiodthe
ProgramislicensedtoLicensee,andfortwoyearsthereafter.
8.1VerificationProcess
Licenseeagreestocreate,retain,andprovidetoIBManditsauditorsaccuratewrittenrecords,
systemtooloutputs,andothersysteminformationsufficienttoprovideauditableverificationthat
Licensee'suseofallProgramsisincompliancewiththeEvaluationProgramTerms,including,
withoutlimitation,allofIBM'sapplicablelicensingandpricingqualificationterms.Licenseeis
responsiblefor1)ensuringthatitdoesnotexceeditsAuthorizedUse,and2)remainingin
compliancewithEvaluationProgramTerms.
Uponreasonablenotice,IBMmayverifyLicensee'scompliancewithEvaluationProgramTerms
atallsitesandforallenvironmentsinwhichLicenseeuses(foranypurpose)Programssubjectto
EvaluationProgramTerms.Suchverificationwillbeconductedinamannerthatminimizes
disruptiontoLicensee'sbusiness,andmaybeconductedonLicensee'spremises,duringnormal
businesshours.IBMmayuseanindependentauditortoassistwithsuchverification,provided
IBMhasawrittenconfidentialityagreementinplacewithsuchauditor.
8.2Resolution
IBMwillnotifyLicenseeinwritingifanysuchverificationindicatesthatLicenseehasusedany
PrograminexcessofitsAuthorizedUseorisotherwisenotincompliancewiththeEvaluation
ProgramTerms.LicenseeagreestopromptlypaydirectlytoIBMthechargesthatIBMspecifies
inaninvoicefor1)anysuchexcessuse,2)supportforsuchexcessuseforthelesserofthe
durationofsuchexcessuseortwoyears,and3)anyadditionalchargesandotherliabilities
determinedasaresultofsuchverification.
9.ThirdPartyNotices
TheProgrammayincludethirdpartycodethatIBM,notthethirdparty,licensestoLicensee
underthisAgreement.Notices,ifany,forthethirdpartycode("ThirdPartyNotices")areincluded
forLicensee'sinformationonly.ThesenoticescanbefoundintheProgram'sNOTICESfile(s).

10.General
a.NothinginthisAgreementaffectsanystatutoryrightsofconsumersthatcannotbewaivedor
limitedbycontract.
b.IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremaining
provisionsofthisAgreementremaininfullforceandeffect.
c.LicenseeisprohibitedfromexportingtheProgram.
d.LicenseeauthorizesInternationalBusinessMachinesCorporationanditssubsidiaries(and
theirsuccessorsandassigns,contractorsandIBMBusinessPartners)tostoreanduse
Licensee'sbusinesscontactinformationwherevertheydobusiness,inconnectionwithIBM
productsandservices,orinfurtheranceofIBM'sbusinessrelationshipwithLicensee.
e.Eachpartywillallowtheotherreasonableopportunitytocomplybeforeitclaimsthattheother
hasnotmetitsobligationsunderthisAgreement.Thepartieswillattemptingoodfaithtoresolve
alldisputes,disagreements,orclaimsbetweenthepartiesrelatingtothisAgreement.
f.Unlessotherwiserequiredbyapplicablelawwithoutthepossibilityofcontractualwaiveror
limitation:1)neitherpartywillbringalegalaction,regardlessofform,foranyclaimarisingoutof
orrelatedtothisAgreementmorethantwoyearsafterthecauseofactionaroseand2)uponthe
expirationofsuchtimelimit,anysuchclaimandallrespectiverightsrelatedtotheclaimlapse.
g.NeitherLicenseenorIBMisresponsibleforfailuretofulfillanyobligationsduetocauses
beyonditscontrol.
h.NorightorcauseofactionforanythirdpartyiscreatedbythisAgreement,norisIBM
responsibleforanythirdpartyclaimsagainstLicensee,exceptaspermittedinSubsection7.1
(ItemsforWhichIBMMayBeLiable)aboveforbodilyinjury(includingdeath)ordamagetoreal
ortangiblepersonalpropertyforwhichIBMislegallyliabletothatthirdparty.
i.InenteringintothisAgreement,neitherpartyisrelyingonanyrepresentationnotspecifiedin
thisAgreement,includingbutnotlimitedtoanyrepresentationconcerning:1)theperformanceor
functionoftheProgram,otherthanasexpresslywarrantedinSection5(NoWarranties)above
2)theexperiencesorrecommendationsofotherpartiesor3)anyresultsorsavingsthat
Licenseemayachieve.
j.IBMhassignedagreementswithcertainorganizations(called"IBMBusinessPartners")to
promote,market,andsupportcertainPrograms.IBMBusinessPartnersremainindependentand
separatefromIBM.IBMisnotresponsiblefortheactionsorstatementsofIBMBusiness
PartnersorobligationstheyhavetoLicensee.
k.ThelicenseandintellectualpropertyindemnificationtermsofLicensee'sotheragreementswith

1.Definitions
"AuthorizedUse"thespecifiedlevelatwhichLicenseeisauthorizedtoexecuteorrunthe
Program.Thatlevelmaybemeasuredbynumberofusers,millionsofserviceunits("MSUs"),
ProcessorValueUnits("PVUs"),orotherlevelofusespecifiedbyIBM.
"IBM"InternationalBusinessMachinesCorporationoroneofitssubsidiaries.
"LicenseInformation"("LI")adocumentthatprovidesinformationandanyadditionalterms
specifictoaProgram.TheProgram'sLIisavailableatwww.ibm.com/software/sla.TheLIcan
alsobefoundintheProgram'sdirectory,bytheuseofasystemcommand,orasabooklet
includedwiththeProgram.
"Program"thefollowing,includingtheoriginalandallwholeorpartialcopies:1)machine
readableinstructionsanddata,2)components,files,andmodules,3)audiovisualcontent(such
asimages,text,recordings,orpictures),and4)relatedlicensedmaterials(suchaskeysand
documentation).
"ProofofEntitlement"("PoE")evidenceofLicensee'sAuthorizedUse.ThePoEisalsoevidence
ofLicensee'seligibilityforwarranty,futureupdateprices,ifany,andpotentialspecialor
promotionalopportunities.IfIBMdoesnotprovideLicenseewithaPoE,thenIBMmayacceptas
thePoEtheoriginalpaidsalesreceiptorothersalesrecordfromtheparty(eitherIBMorits
reseller)fromwhomLicenseeobtainedtheProgram,providedthatitspecifiestheProgramname
andAuthorizedUseobtained.
"WarrantyPeriod"oneyear,startingonthedatetheoriginalLicenseeisgrantedthelicense.
2.AgreementStructure
ThisAgreementincludesPart1GeneralTerms,Part2CountryuniqueTerms(ifany),theLI,
andthePoEandisthecompleteagreementbetweenLicenseeandIBMregardingtheuseofthe
Program.ItreplacesanypriororalorwrittencommunicationsbetweenLicenseeandIBM
concerningLicensee'suseoftheProgram.ThetermsofPart2mayreplaceormodifythoseof
Part1.Totheextentofanyconflict,theLIprevailsoverbothParts.
3.LicenseGrant
TheProgramisownedbyIBMoranIBMsupplier,andiscopyrightedandlicensed,notsold.
IBMgrantsLicenseeanonexclusivelicenseto1)usetheProgramuptotheAuthorizedUse
specifiedinthePoE,2)makeandinstallcopiestosupportsuchAuthorizedUse,and3)makea
backupcopy,allprovidedthat
a.LicenseehaslawfullyobtainedtheProgramandcomplieswiththetermsofthisAgreement

ThislicenseappliestoeachcopyoftheProgramthatLicenseemakes.
3.1Tradeups,Updates,Fixes,andPatches
3.1.1Tradeups
IftheProgramisreplacedbyatradeupProgram,thereplacedProgram'slicenseispromptly
terminated.
3.1.2Updates,Fixes,andPatches
WhenLicenseereceivesanupdate,fix,orpatchtoaProgram,Licenseeacceptsanyadditional
ordifferenttermsthatareapplicabletosuchupdate,fix,orpatchthatarespecifiedinitsLI.Ifno
additionalordifferenttermsareprovided,thentheupdate,fix,orpatchissubjectsolelytothis
Agreement.IftheProgramisreplacedbyanupdate,Licenseeagreestopromptlydiscontinue
useofthereplacedProgram.
3.2FixedTermLicenses
IfIBMlicensestheProgramforafixedterm,Licensee'slicenseisterminatedattheendofthe
fixedterm,unlessLicenseeandIBMagreetorenewit.
3.3TermandTermination
ThisAgreementiseffectiveuntilterminated.
IBMmayterminateLicensee'slicenseifLicenseefailstocomplywiththetermsofthis

Agreement.
Ifthelicenseisterminatedforanyreasonbyeitherparty,Licenseeagreestopromptly
discontinueuseofanddestroyallofLicensee'scopiesoftheProgram.Anytermsofthis
AgreementthatbytheirnatureextendbeyondterminationofthisAgreementremainineffectuntil
fulfilled,andapplytobothparties'respectivesuccessorsandassignees.
4.Charges
ChargesarebasedonAuthorizedUseobtained,whichisspecifiedinthePoE.IBMdoesnotgive
creditsorrefundsforchargesalreadydueorpaid,exceptasspecifiedelsewhereinthis
Agreement.
IfLicenseewishestoincreaseitsAuthorizedUse,LicenseemustnotifyIBMoranauthorizedIBM
resellerinadvanceandpayanyapplicablecharges.
5.Taxes
IfanyauthorityimposesontheProgramaduty,tax,levy,orfee,excludingthosebasedonIBM's
netincome,thenLicenseeagreestopaythatamount,asspecifiedinaninvoice,orsupply
exemptiondocumentation.Licenseeisresponsibleforanypersonalpropertytaxesforthe
ProgramfromthedatethatLicenseeobtainsit.Ifanyauthorityimposesacustomsduty,tax,levy,
orfeefortheimportintoortheexport,transfer,access,oruseoftheProgramoutsidethe
countryinwhichtheoriginalLicenseewasgrantedthelicense,thenLicenseeagreesthatitis
responsiblefor,andwillpay,anyamountimposed.
6.MoneybackGuarantee
IfLicenseeisdissatisfiedwiththeProgramforanyreasonandistheoriginalLicensee,Licensee
mayterminatethelicenseandobtainarefundoftheamountLicenseepaidfortheProgram,
providedthatLicenseereturnstheProgramandPoEtothepartyfromwhomLicenseeobtainedit
within30daysofthedatethePoEwasissuedtoLicensee.Ifthelicenseisforafixedtermthatis
subjecttorenewal,thenLicenseemayobtainarefundonlyiftheProgramanditsPoEare
returnedwithinthefirst30daysoftheinitialterm.IfLicenseedownloadedtheProgram,Licensee
shouldcontactthepartyfromwhomLicenseeobtaineditforinstructionsonhowtoobtainthe
refund.
7.ProgramTransfer
LicenseemaytransfertheProgramandallofLicensee'slicenserightsandobligationstoanother
partyonlyifthatpartyagreestothetermsofthisAgreement.Ifthelicenseisterminatedforany
reasonbyeitherparty,LicenseeisprohibitedfromtransferringtheProgramtoanotherparty.
Licenseemaynottransferaportionof1)theProgramor2)theProgram'sAuthorizedUse.When
LicenseetransferstheProgram,LicenseemustalsotransferahardcopyofthisAgreement,
includingtheLIandPoE.Immediatelyafterthetransfer,Licensee'slicenseterminates.
8.WarrantyandExclusions

IBMwarrantsthattheProgram,whenusedinitsspecifiedoperatingenvironment,willconformto
itsspecifications.TheProgram'sspecifications,andspecifiedoperatingenvironmentinformation,
canbefoundindocumentationaccompanyingtheProgram(suchasareadmefile)orother
informationpublishedbyIBM(suchasanannouncementletter).Licenseeagreesthatsuch
documentationandotherProgramcontentmaybesuppliedonlyintheEnglishlanguage,unless
otherwiserequiredbylocallawwithoutthepossibilityofcontractualwaiverorlimitation.
ThewarrantyappliesonlytotheunmodifiedportionoftheProgram.IBMdoesnotwarrant
uninterruptedorerrorfreeoperationoftheProgram,orthatIBMwillcorrectallProgramdefects.
LicenseeisresponsiblefortheresultsobtainedfromtheuseoftheProgram.
DuringtheWarrantyPeriod,IBMprovidesLicenseewithaccesstoIBMdatabasescontaining
informationonknownProgramdefects,defectcorrections,restrictions,andbypassesatno
additionalcharge.ConsulttheIBMSoftwareSupportHandbookforfurtherinformationat
www.ibm.com/software/support.
IftheProgramdoesnotfunctionaswarrantedduringtheWarrantyPeriodandtheproblem
cannotberesolvedwithinformationavailableintheIBMdatabases,Licenseemayreturnthe
ProgramanditsPoEtotheparty(eitherIBMoritsreseller)fromwhomLicenseeobtaineditand
receivearefundoftheamountLicenseepaid.AfterreturningtheProgram,Licensee'slicense
terminates.IfLicenseedownloadedtheProgram,Licenseeshouldcontactthepartyfromwhom
Licenseeobtaineditforinstructionsonhowtoobtaintherefund.
8.2Exclusions
THESEWARRANTIESARELICENSEE'SEXCLUSIVEWARRANTIESANDREPLACEALL

ABOVEEXCLUSIONMAYNOTAPPLYTOLICENSEE.INTHATEVENT,SUCH
WARRANTIESARELIMITEDINDURATIONTOTHEWARRANTYPERIOD.NO

9.LicenseeDataandDatabases
ToassistLicenseeinisolatingthecauseofaproblemwiththeProgram,IBMmayrequestthat
Licensee1)allowIBMtoremotelyaccessLicensee'ssystemor2)sendLicenseeinformationor

LicenseeenteraseparatewrittenagreementunderwhichIBMagreestoprovidetoLicenseethat
typeofsupport,whichisbeyondIBM'swarrantyobligationsinthisAgreement.Inanyevent,IBM
usesinformationabouterrorsandproblemstoimproveitsproductsandservices,andassistwith
itsprovisionofrelatedsupportofferings.Forthesepurposes,IBMmayuseIBMentitiesand
subcontractors(includinginoneormorecountriesotherthantheoneinwhichLicenseeis
located),andLicenseeauthorizesIBMtodoso.
Licenseeremainsresponsiblefor1)anydataandthecontentofanydatabaseLicenseemakes
availabletoIBM,2)theselectionandimplementationofproceduresandcontrolsregarding
access,security,encryption,use,andtransmissionofdata(includinganypersonallyidentifiable
data),and3)backupandrecoveryofanydatabaseandanystoreddata.Licenseewillnotsend
orprovideIBMaccesstoanypersonallyidentifiableinformation,whetherindataoranyother
form,andwillberesponsibleforreasonablecostsandotheramountsthatIBMmayincurrelating
toanysuchinformationmistakenlyprovidedtoIBMorthelossordisclosureofsuchinformation
byIBM,includingthosearisingoutofanythirdpartyclaims.
10.LimitationofLiability
ThelimitationsandexclusionsinthisSection10(LimitationofLiability)applytothefullextentthey
arenotprohibitedbyapplicablelawwithoutthepossibilityofcontractualwaiver.
10.1ItemsforWhichIBMMayBeLiable
Circumstancesmayarisewhere,becauseofadefaultonIBM'spartorotherliability,Licenseeis
entitledtorecoverdamagesfromIBM.RegardlessofthebasisonwhichLicenseeisentitledto
claimdamagesfromIBM(includingfundamentalbreach,negligence,misrepresentation,orother
contractortortclaim),IBM'sentireliabilityforallclaimsintheaggregatearisingfromorrelatedto
eachProgramorotherwisearisingunderthisAgreementwillnotexceedtheamountofany1)
damagesforbodilyinjury(includingdeath)anddamagetorealpropertyandtangiblepersonal
propertyand2)otheractualdirectdamagesuptothecharges(iftheProgramissubjecttofixed
termcharges,uptotwelvemonths'charges)LicenseepaidfortheProgramthatisthesubjectof
theclaim.
ThislimitalsoappliestoanyofIBM'sProgramdevelopersandsuppliers.Itisthemaximumfor
whichIBManditsProgramdevelopersandsuppliersarecollectivelyresponsible.

AgreementandapplicableamendmentsandtransactiondocumentsprovidedbyIBM,and2)IBM
softwarepoliciesthatmaybefoundattheIBMSoftwarePolicywebsite
(www.ibm.com/softwarepolicies),includingbutnotlimitedtothosepoliciesconcerningbackup,
subcapacitypricing,andmigration.
TherightsandobligationssetforthinthisSection11remainineffectduringtheperiodthe
ProgramislicensedtoLicensee,andfortwoyearsthereafter.
11.1VerificationProcess
Licenseeagreestocreate,retain,andprovidetoIBManditsauditorsaccuratewrittenrecords,
systemtooloutputs,andothersysteminformationsufficienttoprovideauditableverificationthat
Licensee'suseofallProgramsisincompliancewiththeIPLAProgramTerms,including,without
limitation,allofIBM'sapplicablelicensingandpricingqualificationterms.Licenseeisresponsible
for1)ensuringthatitdoesnotexceeditsAuthorizedUse,and2)remainingincompliancewith
IPLAProgramTerms.
Uponreasonablenotice,IBMmayverifyLicensee'scompliancewithIPLAProgramTermsatall
sitesandforallenvironmentsinwhichLicenseeuses(foranypurpose)ProgramssubjecttoIPLA
ProgramTerms.Suchverificationwillbeconductedinamannerthatminimizesdisruptionto
Licensee'sbusiness,andmaybeconductedonLicensee'spremises,duringnormalbusiness
hours.IBMmayuseanindependentauditortoassistwithsuchverification,providedIBMhasa
writtenconfidentialityagreementinplacewithsuchauditor.
11.2Resolution
IBMwillnotifyLicenseeinwritingifanysuchverificationindicatesthatLicenseehasusedany
PrograminexcessofitsAuthorizedUseorisotherwisenotincompliancewiththeIPLAProgram
Terms.LicenseeagreestopromptlypaydirectlytoIBMthechargesthatIBMspecifiesinan
invoicefor1)anysuchexcessuse,2)supportforsuchexcessuseforthelesseroftheduration
ofsuchexcessuseortwoyears,and3)anyadditionalchargesandotherliabilitiesdeterminedas
aresultofsuchverification.
12.ThirdPartyNotices
TheProgrammayincludethirdpartycodethatIBM,notthethirdparty,licensestoLicensee
underthisAgreement.Notices,ifany,forthethirdpartycode("ThirdPartyNotices")areincluded
forLicensee'sinformationonly.ThesenoticescanbefoundintheProgram'sNOTICESfile(s).
InformationonhowtoobtainsourcecodeforcertainthirdpartycodecanbefoundintheThird
PartyNotices.IfintheThirdPartyNoticesIBMidentifiesthirdpartycodeas"ModifiableThird
PartyCode,"IBMauthorizesLicenseeto1)modifytheModifiableThirdPartyCodeand2)
reverseengineertheProgrammodulesthatdirectlyinterfacewiththeModifiableThirdParty
CodeprovidedthatitisonlyforthepurposeofdebuggingLicensee'smodificationstosuchthird
partycode.IBM'sserviceandsupportobligations,ifany,applyonlytotheunmodifiedProgram.
13.General
a.NothinginthisAgreementaffectsanystatutoryrightsofconsumersthatcannotbewaivedor
limitedbycontract.

c.IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremaining
provisionsofthisAgreementremaininfullforceandeffect.
d.Licenseeagreestocomplywithallapplicableexportandimportlawsandregulations,including
U.S.embargoandsanctionsregulationsandprohibitionsonexportforcertainendusesorto
certainusers.
e.LicenseeauthorizesInternationalBusinessMachinesCorporationanditssubsidiaries(and
theirsuccessorsandassigns,contractorsandIBMBusinessPartners)tostoreanduse
Licensee'sbusinesscontactinformationwherevertheydobusiness,inconnectionwithIBM
productsandservices,orinfurtheranceofIBM'sbusinessrelationshipwithLicensee.
f.Eachpartywillallowtheotherreasonableopportunitytocomplybeforeitclaimsthattheother
hasnotmetitsobligationsunderthisAgreement.Thepartieswillattemptingoodfaithtoresolve
alldisputes,disagreements,orclaimsbetweenthepartiesrelatingtothisAgreement.
g.Unlessotherwiserequiredbyapplicablelawwithoutthepossibilityofcontractualwaiveror
limitation:1)neitherpartywillbringalegalaction,regardlessofform,foranyclaimarisingoutof
orrelatedtothisAgreementmorethantwoyearsafterthecauseofactionaroseand2)uponthe
expirationofsuchtimelimit,anysuchclaimandallrespectiverightsrelatedtotheclaimlapse.
h.NeitherLicenseenorIBMisresponsibleforfailuretofulfillanyobligationsduetocauses
beyonditscontrol.
i.NorightorcauseofactionforanythirdpartyiscreatedbythisAgreement,norisIBM
responsibleforanythirdpartyclaimsagainstLicensee,exceptaspermittedinSubsection10.1
(ItemsforWhichIBMMayBeLiable)aboveforbodilyinjury(includingdeath)ordamagetoreal
ortangiblepersonalpropertyforwhichIBMislegallyliabletothatthirdparty.
j.InenteringintothisAgreement,neitherpartyisrelyingonanyrepresentationnotspecifiedin
thisAgreement,includingbutnotlimitedtoanyrepresentationconcerning:1)theperformanceor
functionoftheProgram,otherthanasexpresslywarrantedinSection8(Warrantyand
Exclusions)above2)theexperiencesorrecommendationsofotherpartiesor3)anyresultsor
savingsthatLicenseemayachieve.
k.IBMhassignedagreementswithcertainorganizations(called"IBMBusinessPartners")to

10.1ItemsforWhichIBMMayBeLiable

Forthepurposesofthissection,a"Default"meansanyact,statement,omissionornegligenceon
thepartofIBMinconnectionwith,orinrelationto,thesubjectmatterofanAgreementinrespect
ofwhichIBMislegallyliabletoLicensee,whetherincontractorintort.AnumberofDefaults
whichtogetherresultin,orcontributeto,substantiallythesamelossordamagewillbetreatedas
oneDefault.
Circumstancesmayarisewhere,becauseofaDefaultbyIBMintheperformanceofits
obligationsunderthisAgreementorotherliability,Licenseeisentitledtorecoverdamagesfrom
IBM.RegardlessofthebasisonwhichLicenseeisentitledtoclaimdamagesfromIBMand
exceptasexpresslyrequiredbylawwithoutthepossibilityofcontractualwaiver,IBM'sentire
liabilityforanyoneDefaultwillnotexceedtheamountofanydirectdamages,totheextent
actuallysufferedbyLicenseeasanimmediateanddirectconsequenceofthedefault,uptothe
greaterof(1)500,000euro(ortheequivalentinlocalcurrency)or(2)125%ofthecharges(ifthe
Programissubjecttofixedtermcharges,upto12months'charges)fortheProgramthatisthe
subjectoftheclaim.Notwithstandingtheforegoing,theamountofanydamagesforbodilyinjury
(includingdeath)anddamagetorealpropertyandtangiblepersonalpropertyforwhichIBMis
