Inordertoevaluateapotentialemploymentopportunity(thePurpose),GoogleInc.,foritselfandits
subsidiariesandaffiliates(Google),andtheindividualidentifiedbelowherebyagree:
1.Thisagreementiseffectiveasofthedatesignedbelow.
2.Googlemaydisclosetotheotherparty(theRecipient)informationpertainingtothePurposethatGoogle
considersconfidential(ConfidentialInformation).
3.RecipientmayuseConfidentialInformationonlyforthePurpose.Recipientmustuseareasonabledegree
ofcaretoprotectConfidentialInformationandtopreventanyunauthorizeduseordisclosureofConfidential
Information.RecipientmayshareConfidentialInformationwithhis/herlegalcounselwhoareengagedby
RecipientindiscussionsconcerningthePurpose.
4.ConfidentialInformationdoesnotincludeinformationthat:(a)wasknowntoRecipientwithoutrestriction
beforereceiptfromGoogle(b)ispubliclyavailablethroughnofaultofRecipient(c)isrightfullyreceivedby
Recipientfromathirdpartywithoutadutyofconfidentialityor(d)isindependentlydevelopedbyRecipient.
RecipientmaydiscloseConfidentialInformationwhencompelledtodosobylawifitprovidesreasonable
priornoticetoGoogle,unlessacourtordersthatGooglenotbegivennotice.
5.RecipientagreestoparticipateinavideointerviewusingGoogleHangout.Recipientagreesnottomake
anyrecordingofaninterviewortodiscloseanyquestionsaskedduringinterviewtoanythirdparty.
6.Eitherpartymayterminatethisagreementwiththirtydayspriorwrittennotice,butthisagreements
provisionswillsurviveastoConfidentialInformationthatisdisclosedbeforetermination.
7.Unlessthepartiesotherwiseagreeinwriting,RecipientsdutytoprotectConfidentialInformationexpires
fiveyearsfromdisclosure.
8.Thisagreementimposesnoobligationtoproceedwithanyfurtherdiscussionsorenterintoany
employmentagreementorotherbusinesstransaction.
9.Recipientacquiresnointellectualpropertyrightsunderthisagreementexceptthelimitedrights
necessarytousetheConfidentialInformationforthePurpose.
10.Thisagreementdoesnotcreateanyemployment,agencyorpartnershiprelationship.
11.Thisagreementisthepartiesentireagreementonthistopic,supersedinganypriororcontemporaneous
agreements.Anyamendmentsmustbeinwriting.Failuretoenforceanyoftheprovisionsofthisagreement
willnotconstituteawaiver.Thisagreementisnotassignableortransferablebyeitherpartywithouttheprior
writtenconsentoftheotherparty.
12.ThisAgreementshallbegovernedbythelawsofIndiaandsubjecttotheexclusivejurisdictionofcourts
inIndia.
