MEMORANDUM OF AGREEMENT KNOW ALL MEN BY THESE PRESENTS: This MEMORANDUM OF AGREEMENT is made and executed at the City

of _____, this day of _______________, 20__, by and between: CONCHITA LABRADOR, of legal age, married to Raul Labrador, Filipino, and with residence and postal address at Sto. Thomas , Subic, Zambales, Philippines, hereinafter referred to as the FIRST PARTY. -andJAPAR E. MANALO, of legal age, single, Filipino and with residence and postal address at #1 Lancelot St. Kingsville Court Subdivision, Antipolo City, Philippines, hereinafter referred to as the SECOND PARTY. WITNESSETH; That WHEREAS, the FIRST PARTY is the owner of the registered parcel of land situated at Magsaysay, Castillejos, Zambales, particularly described as follows: KATIBAYAN NG ORIHINAL NA TITULO BLG. P-29060 A parcel of land situated in Barangay Magsaysay, Municipality of Castillejos, Province of Zambales, Island of Luzon. Bounded on the E., SE., and NE., along lines 1-2-3-4-5-6-1 by Lot E. Ccs-03-001469-D. containing an area of TWO THOUSAND FIVE HUNDRED (2,500) SQUARE METERS, more or less. All points are marked on the ground by P.S. Cyl. Conc. Mons.; bearings true; date of original survey, May 7, 2008, and that of the survey executed by Geodetic Engineer, M.P. Punesto June 4, 2008.

WHEREAS, the FIRST PARTY offered to accommodate the services of the SECOND PARTY, as land property management who will share knowledge, experiences, skills and resources in helping the FIRST PARTY to utilize, dispose the property herein mentioned through the Community Mortgage Program (CMP) through Socialized Housing Finance Corporation (SHFC) in working with the community in participation to government programs and services. NOW THEREFORE, for and in consideration of the foregoing premises and stipulations herein below set forth, the PARTIES HAVE AGREED AND HEREBY AGREE AS FOLLOWS: I. SCOPE OF ENGAGEMENT A. The FIRST PARTY shall engage the services of the SECOND PARTY and approve to abide the following: 1. To receive a total amount of TWO HUNDRED THOUSAND PESOS (PHP200,000.00) as initial payment to be collected from the beneficiaries reservation prior to occupation of the said property, of which this amount shall accumulate by the SECOND PARTY, and form part of the total price of the property. 2. To obtain a total purchase price of ONE MILLION TWO HUNDRED THOUSAND PESOS (PHP1,200,000.00), including the initial payments. 3. To sign a SPECIAL POWER OF ATTORNEY granting the SECOND PARTY to act on his behalf in utilization and disposal of property. B. In line with the objectives set, the SECOND PARTY agrees to the following roles and functions: 1. To process all documents pertaining to the disposal, utilization, conversion and transfer, of property, and to do and perform the foregoing acts and things, to wit:

a. Relocation survey of the property in order to determine its meters and bounds b. Topographic survey c. Preparation of subdivision scheme d. Subdivision survey e. Monument setting f. Preparations of survey returns (survey plans, computations, field notes, etc.) g. Submissions of complete survey returns at the LMS-DENR for verifications and approva h. Secure sepia print copy and approved plan and certified technical descriptions. 2. To accept a Reservation Fee of TEN THOUSAND FIVE HUNDRED (PHP10,500.00) from each beneficiary, whereas the collected Reservation Fee must be spent in the utilization of the total project cost. 3. To receive all the documents mentioned above in the government offices such as Land Registration Authority or Registry of Deeds, Provincial and/or Municipal Assessors, Bureau of Internal Revenue, Department of Environment and Natural Resources, Community Mortgage Program under Social Housing Finance Corporation, and other bureaus or agencies. 4. To attend meetings, consultations, dialogues and conferences/ sessions in relation to CMP-SHFC as the case maybe; 5. To do all other acts associated thereto; 6. To execute and sign documents related thereto 7. Organize an association and conduct screening, training, orientation and briefing session to the community that would identify informal settlers occupying the property. 8. Attend regular meetings, consultations, dialogues and supervising conferences/ sessions as the need arises; 9. To handle day-to-day transactions and administrative functions of the in relation to the foregoing CMP-SHFC. 10. Collaborate with government offices in relation to the utilization and disposal of the property from the land owner to the informal settlers; 11. Facilitate the process of documentation in relation to the transfer of ownership upon full payment via CMP-SHFC program. 12. Provide appropriate recruitment flyer that would be distributed in strategic locations in Subic, Olongapo and other nearby towns to create awareness of the opportunity. 13. Establish a working committee that would conduct the process of implementation and call for a resource speaker or project facilitator to carry out and ensure the success of the program from the start till it is completed. 14. This agreement between both parties does not in any way create an EMPLOYER-EMPLOYEE relationship between parties. II. CIRCUMSTANCES 1. Should circumstances arise beyond the control of any PARTY that makes it impossible to proceed with or fulfil its obligations under the Agreement, such PARTY shall notify the other PARTY in writing within one (1) week from the occurrence of the unforeseen circumstances. The PARTIES shall thereupon mutually agree on the actions to be taken and the date when the unfulfilled obligations be undertaken. 2. FORCE MAJEURE: If whole or any part of the property shall be destroyed or damaged by flood, lightning, typhoon, earthquake, storm, riot or any other unforeseen disabling cause of acts of God, as to render the property during the term substantially unfit for use and services of the

SECOND PARTY, then this memorandum of agreement may be terminated without compensation by the FIRST PARTY or by the SECOND PARTY by notice in writing to the other. 3. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek judicial relief against the other, the losing party shall pay an amount of One Hundred (100) % of the amount claimed in the complaint as attorney's fees which shall in no case be less than P50,000.00 pesos in addition to other cost and damages which the said party may be entitled to under the law. III. EFFECTIVITY This agreement shall take effect upon signing by the PARTIES and shall remain in full force until the end of the services period to be agreed upon by BOTH PARTIES at the end of this Agreement.

This MEMORANDUM OF AGREEMENT shall be valid and binding between the parties, their successors-in-interest and assigns.
