    CERTIFICATION OF NO OBJECTION (NO ORDER REQUIRED) REGARDING AMENDED MONTHLY FEE APPLICATION OF LAZARD FRRES & CO. LLC FOR THE PERIOD JUNE 1,2009 THROUGH JUNE 30, 2009
    The undersigned hereby certifies that, as of the date hereof, he has received no

    answer, objection or other responsive pleading to the Amended Monthly Interim Application of

    Lazard Frres & Co. LLC ("Lazard") as Investment Baner and Financial Advisor to Debtors
    and Debtors in Possession for Compensation for Services Rendered and Reimbursement of
    Expenses Incurred for the Period June 1, 2009 through June 30, 2009 (Docket No. 679) (the

    "Application") fied on July 28,2009. The undersigned further certifies that he has reviewed the
    Court's docket in this case and no answer, objection or other responsive pleading to the

    Application appears thereon. Pursuant to the Notice of Application, objections to the

    Application were to be fied and served no later than August 17,2009.


    Pursuant to the Order Pursuant to Sections 105(a) and 331 of

    the Banptcy

    Code Establishing Procedures for Interim Compensation and Reimbursement of Professionals,

    dated April 8,2009 (the "Order") (Docket No. 147), the Debtors are authorized to pay Lazard
