03rd June, 2011 Our Ref: We are informed that you have entered into a contract CONSULTANCY SERVICES, date . (hereinafter referred to as the "Contract") with .. (hereinafter referred to as the "Seller") for the supply of .. and under the Contract, the Seller has to provide you with the performance guarantee. At the request of the Seller, we, HSBC Bank (Vietnam) Ltd., having our registered office at the Pacific Place, 83B Ly Thuong Kiet street, Hoan Kiem District, Hanoi issue this performance guarantee for . in your favour to guarantee the Sellers obligations to execute and perform the Contract as agreed. We hereby unconditionally and irrevocably undertake to pay you any sum(s) not exceeding, in aggregate, the amount above stated upon receipt of your first written demand accompanied by your signed statement certifying that the Seller has failed to fulfill his obligations under the Contract as agreed. Such demands and statements must bear the confirmation of your bankers that the signatories thereon are authorized so to sign. This guarantee becomes valid and remains in force from up to or to the date that the original of this guarantee is returned to us, whichever occurs earlier. Any demand in respect thereof should reach us not later than the above date, after which this guarantee will become null and void whether returned to us for cancellation or not. This guarantee is not assignable or transferable. This guarantee is to be governed by and construed in accordance with the Vietnamese Laws.
