1. The Assignor does hereby assign all interest and benefits in the contract described

2. Assignee does hereby authorize that this contract has been modified in effect and is
fully assignable. Assignor agrees to indemnify and hold harmless Assignee from any
and all claims, losses, expenses and attorney fees that may arise from the contract or
the Assignor's duties prior to this date.

3. Assignee does hereby accept such assignment of the contract and agrees to perform
all the obligations thereunder. Assignee agrees to indemnify and hold the Assignor
harmless from any claims, losses, damages, expenses and attorney fees which may
arise from the Assignee's failure to perform under this contract after the date of this
Assignment.

4. The Assignee and Assignor and any successors are bound by this Assignment. This
Assignment and any attachments is the entire agreement between the parties.
