By-Laws of Wildwood Acreage Estates Property Owners Association
SECTION 1:
The name of the association shall stay “Wildwood Acreage Estates Property Owners Association”,
hereinafter referred to as the “Association”. The Association consists of Sections 23-24-25-26. Streets
included in these four (4) sections are Wildlife, Fawn, Cricket, Bull Run, Trillium, Antler, Morel, Lady
Slipper, Barberry, Buttercup, Primrose, Beaver, Vinca, Plum, Fir & Glenrose. The office shall be
located at 12966 S. Straits Highway P.O. Box 181 Wolverine, Michigan 49799. The association shall be
an un-incorporated association unless changed by a 2/3rds majority of the members in good standing of
the association.
ARTICLE II-PURPOSE
SECTION 1:
To foster and advance rules and regulations deemed to be in the best interest of the Association.
SECTION 2:
To collect dues and raise monies for the purpose of providing road maintenance, improvements,
snow removal and general improvements. To provide road maintenance for parcels included in the
Association and to do all things necessary and incidental, as permitted by law, to promote the common
benefit and enjoyment of the property owners of the Association.
SECTION 3:
Right to retain counsel, if necessary, to place liens upon lots whose owners fail to pay dues or
special assessments. Those costs to be added to the lien.
SECTION 4:
In all procedural matters, the most current edition of Robert’s Rules of Order shall control unless
otherwise specifically provided for in the By-Laws.
ARTICLE III-MEMBERSHIP
SECTION 1:
Every person or entity who owns or holds an equitable or legal interest, whether as a land contract
purchaser or as a fee holder of any lot in Wildwood Acreage Estates shall be a member of the Association
as part of ownership of land within Wildwood Acreage Estates.
SECTION 2:
Membership in the Association is subject to payment of any annual or special assessments, fees or
other charges provided for by the By-Laws.
A. In the event any of the fees or payments required under the By-Laws are delinquent for a
period of thirty(30) days or more, the voting rights of the member shall automatically be
suspended until such time as all of such charges are paid in full, including any penalty fees
or charges for collection, as provided for in the By-Laws.
B. The voting rights of any member may also be suspended by action of the Board of Directors
for any infraction of the By-Laws or Protective Covenants and Restrictions and said rights
may be restored by the Board of Directors when they are satisfied that the infraction has
been satisfactorily rectified or assured that further infractions will not happen.
C. Any assessments or charges provided for in the By-Laws or Protective Covenants and
Restrictions shall be delinquent if they are not paid in full by the due date and shall be
enforced as provided herein. The Association shall have the right to place a lien on the
subject parcels for delinquent assessments in the manner provided by law.
D. Only members in good standing with assessments and any other fees or charges provided for by
the By-Laws or the Protective Covenants and Restrictions may hold an appointed or
elected office in the Association.
E. All members of the Association shall have the responsibility of informing the Secretary of
the
Association in writing of any change of address. Absent any such notice, any notices
or
mailings required under the By-Laws or by the Directors of the Association shall be
deemed
sufficient if mailed to the last known address given by the member.
F. All members shall also have the responsibility of informing the Secretary of the Association,
in
writing, of any sale of the subject property in the Association or any transfer of said
property
including the name and address of the transferee or purchaser and the date of the transaction.
Any or all past dues must be paid in full before any final sales. Any of said changes referred
to
above shall be contained in a written notice within fifteen(15) days of the occurrence.
SECTION 1:
Each lot in the Association shall be entitled to one(1) vote irrespective of the number of common
owners thereof, which vote shall be cast as the majority of the common owners agree. If there is no
agreement of the majority of the common owners on the vote for any of said lots, then that vote shall be
null and void (for example, if there are two(2) owners and they cannot agree on how to cast the vote). A
member shall be entitled to own more than one(1) lot and shall be entitled to one(1) vote for each of the
number of lots as the member may own.
SECTION 2:
Additional votes shall not be provided to any of the existing lots in the event said lot is divided or
split by the owner unless said split meets all legal requirements for a valid split. In such a case, each of
the new lots after the split shall be entitled to one(1) vote and each shall be responsible for fees, dues and
expenses and all other rights and obligations provided to the other lots in the Association.
SECTION 1:
Each officer of the Association shall automatically be a Director of the Association for the term of
that office. Outgoing President shall continue a member of the Board of Directors for one(1) year
following his completion of his term of President.
SECTION 1:
There shall be the following officers in the Association:
PRESIDENT
VICE-PRESIDENT
SECRETARY
TREASURER
ROAD COMMISSIONER
There shall also be any other office that shall be determined by the Association at any Annual
or
Special Meeting.
SECTION 2:
The votes shall be counted by either the Secretary or by a majority of the members of the
Association. The votes shall be available for inspection to any member in good standing of the
Association for a period of ten(10) days after which they shall be destroyed.
SECTION 1:
In the event any vacancy shall occur in any of the offices, the President may appoint any member in
good standing to fill said vacancy until the vote at the next Annual or Special Meeting.
ARTICLE IX-OFFICERS
SECTION 1:
PRESIDENT. The president shall be executive officer of the Association and shall preside over all
meetings of the Association and the Board of Directors. He or she shall have general and active
management of the business of the Association and shall enforce all orders and resolutions of the
Association. He or she shall have authority to sign checks and all legal documents on behalf of the
Association. The president shall be responsible for preparing and the filing of any documents required by
any government agency or department or unit of government.
SECTION 2:
VICE-PRESIDENT. The vice-president shall have all of the powers and duties of the president in
the event the president is not able to serve for any reason (until the next president is elected) and in the
event the president is absent from any meetings of the Association or the Board of Directors. He or she
shall also perform such other duties as the president may assign.
SECTION 3:
SECRETARY. The secretary shall keep the minutes of all meetings of the Association and the
Board of Directors and shall preserve in the books of the Association true minutes of all the proceedings
of all such meetings. The secretary shall give all notices required by statute, by-law or resolution. He or
she shall keep a record of the names and addresses of all members of the Association.
SECTION 4:
TREASURER. The treasurer shall have the following responsibilities:
A. Collection and custody of all funds paid to the Association and depositing the same in
depositories authorized by the Board of Directors.
B. Filing of all reports as may be legally required, including reports or returns to the Internal
Revenue Service or the State of Michigan and its political subdivisions.
C. Payment of all bills and disbursement of funds as authorized by the Board of Directors.
D. To supply itemized reports to all elected officers of the accounts receivable and payable of the
Association.
E. The treasurer’s books shall be open to inspection at reasonable times by any member in good
standing of the Association.
SECTION 5:
ROAD COMMISSIONER. The road commissioner shall be an officer of the Association and, as
such, be a member of the Board of Directors.
A. His duties shall consist of overseeing all roads within the Association acreage for the purpose
of maintaining said roads for safe passage within the Association properties.
B. He shall obtain and submit competitive estimates for road repair, snow removal, etc.
C. He shall have authority to order removal of any gates or objects obstructing or limiting travel
and access to any location or area within the Association property.
D. The commissioner shall provide ten(10) day notice for removal of gate or obstruction to
individual or individuals responsible therefore and if removal is not accomplished, he
shall have the authority to remove same and said expense shall be assessed against
responsible parties property in the form of a lien if not paid in thirty(30) days.
E. If the commissioner is unable to determine who is responsible for the gate or obstruction,
he shall order their immediate removal.
F. The commissioner shall have authority to act without approval of the Board of Directors with
President’s approval in the event of an emergency, such as a large tree obstructing a roadway,
but expense available for such emergencies shall not exceed three-hundred dollars($300.00).
ARTICLE X-FINANCE
SECTION 1:
The fiscal year of the Association shall begin on the first day of June of each year through May 31 st.
of that year.
SECTION 2:
The Board of Directors shall establish spending level restrictions and budget procedures.
SECTION 1:
With the approval of the Board of Directors, business of the Association may be conducted by mail.
Any mailings to members of the Association shall be by first class mail. A majority of eligible voting
members must vote either in person or by mail in order for there to be a quorum in order to transact
business.
ARTICLE XII-BOARD OF DIRECTORS
SECTION 1:
Each of the officers of the Association shall also automatically become a member of the Board of
Directors during the term of his or her office as President, Vice-President, Secretary, Treasurer and Road
Commissioner.
SECTION 2:
The Board of Directors shall govern the Association and shall be empowered to run the general
affairs of the Association not specifically covered by any of the offices of the president, vice-president,
secretary, treasurer or road commissioner. The Board of Directors shall pass and enforce any resolutions
deemed necessary or desirable on behalf of the Association.
ARTICLE XIII-AMENDMENTS
SECTION 1:
These By-Laws may be amended in a regular or special meeting of the Association provided that
the notice of said meeting contain a full explanation of the proposed amendment(s). A majority of the
quorum of those votes cast on each amendment, either in person or by mail ballot, shall be sufficient to
adopt the proposed amendment.
SECTION 1:
In the event any Article or provision contained herein shall be deemed illegal, null or void for any
reason whatsoever, then the balance of these Articles and provisions shall remain in affect.
SECTION 2:
There is a state law that exempts the officers and the Board of Directors from any liability related
to the performance of their duties on behalf of the Association, except criminal acts.
ARTICLE XV-EASEMENTS
SECTION 1:
There is a thirty-three (33) foot right of way easement. There may be safety extensions (if needed)
for the safety of members in the Association within this thirty-three (33) foot easement.
