CONTRACT
The contract documents in the bid volumes shall be considered in the following order of precedence. (i) ii) iii) iv) v) vi) Special Conditions of Contract. General Conditions of Contract. Scope of Works / Owners Requirements Bill of Quantities. Tender Drawings. Project Profile.
vii) Instruction to bidders viii) Any other document forming part of the Contract. 2. 2.1 THE SCOPE OF WORKS This includes following: 1. Overall detailed planning of Project meeting owners requirement as prescribed 2. All necessary additional investigations and tests. 3. Basic and detailed design for Civil Works. This shall also include the following optional works: Rehabilitation of Tunnel no 1. Modification to Intake structure at Dawdi and Interconnection of Unit no 3 & 4 to Auxilliary reservoir ( AR) and AR to Unit 3 & 4 . These have been incorporated under Schedule 9.0 under Part 2 of Volume VII. i) ii) iii) 4. Preparation of design criteria and specifications for Water conductor system, gates, Surface Penstock & Pressure shaft parts etc. 5. Reviewing specifications, designs and quality assurance plans of Manufacturers of manufacturers for all Hydro mechanical Works. 6. Co-ordination of design of Hydro mechanical & Electro mechanical with design of Civil Works. 7. Preparation of Commissioning and O&M Manuals for Civil Works, reviewing those provided by manufacturers of Hydro mechanical works. 8. During detailed Engineering, Contractor may propose to modify or change preliminary design of Civil, Hydro mechanical works of Project as described in `Project Information Memorandum' for techno-economic reason and time effectiveness provided that such design of Project shall be in accordance with intent of better performance of components and generation of power. Such changes shall not entitle Contractor to additional cost as mentioned in SCC. Additional technical data required for the Works and available with Owner shall be furnished to Contractor without obligation to provide such information as may be requested by the Contractor. Contractor is deemed to have scrutinized the Scope of Work detailed in Volume I, IV & V of Bid Documents and also in light of Clause 3.2 of GCC and is responsible to comply with the same. CONTRACT PRICE Contract Price for execution and completion of Works as per Clause2 shall be in US $ and / or Indian Rupees as per Contract Price Schedules given in Section 2.1 in Part 2 of Volume VII. In case of two part bids bidder shall indicate the price for respective package only.

PRICE ADJUSTMENT Offshore as well as Onshore component of Contract Price is firm till Completion of Works.

TERMS OF PAYMENT 10% advance as per clause no.13.3.1 & 13.3.2 as stipulated in GCC. Progress Payment. Progress certificates shall be established as per Clause3.18 3.19 & 9.5 of GCC. Contractor shall be entitled to receive progress payments as per Schedule below: A. OVER ALL PLANNING REPORT i) First installment of 15% to become due upon submission of Overall Planning Report to Owner and commencement of activities at site by Contractor for Civil Works and its progress observed for three months. Second installment @ 60% on submission of overall planning report and completion of design of critical components for Civil Works Third installment of 15% upon approval by the Owner

DETAILED DESIGN AND ENGINEERING 12 (Twelve ) monthly installment of 5.0% (five percent), first to become due after three months from date of Order to Commence followed by 12 (Twelve )

monthly installment of 2.5% (two point five percent) ensuring that the construction of Works can proceed without delay. C. COMMISSIONING MANUAL AND O&M MANUAL: Please see Clause 3.2.2 of GCC a) b) c) 6. 6.1 First installment of 15% upon submission of draft commissioning & O & M manual for water conductor system including Mulshi sub storage. Second installment of 20% upon acceptance of the manual at a) above. Final installment of 55% upon submission & acceptance of final document.
CONTRACTOR'S WORK PROGRAMME Within month of the `Date of Order to Commence', Contractor shall submit to Project Manager his Work Programme which shall be in line with the Master Control Network now enclosed in this Tender for completing the Project within the specified Time for Completion. This Programme shall take cognizance of activities of other Contractors responsible for Civil, HM and E&M Works of the Project. Clause 3.17 to 3.19 of GCC. This Programme shall show major activities such as but not limited to design reports, drawings etc. Detailed design criteria / memo for Work components shall be submitted to Project Manager for approval one month in advance of start of the said construction activity. Drawing for aforesaid component of Works shall be based on approved criteria and submitted at least two months prior to start of construction activity. Number of copies of Reports and other Documents to be submitted to Project Manager by contractor is specified in Appendix-D2. In one month after submission of Work Programme, Contractor shall submit a schedule indicating methodology for phase wise submission of design documents and drawings. Detailed schedules for submission of construction drawings shall follow thereafter but in any case shall not exceed two months. This shall be coordinated and matched with that of other contractors and other members of Consortium. See Clause 9.3 & 9.4 of General Conditions of Contract.

INDEMNIFICATION AND SAFEGUARDING THE INTERESTS OF OWNER Attention of Contractor is again drawn to following Clauses of GCC, which he shall adhere to in letter and spirit at all stages of performance of Works under this Contract. i) Penalties for delayed Project Commissioning and delayed achievement of Intermediate Milestones: Clauses 11.0, 19.2 and Warranties under Clause 12.0 and paragraph 9.0 above Change orders: Clause 14.0 of GCC

iv) Royalties and License fees at Clause 3.30 of GCC. v) Intellectual property rights- Clause 17.3.Contractors use of Owners DocumentsClause 1.11. These are relevant especially in Mulshi dyke works.
vi) Force Majeure at Clause 20.0 vii) Transfer of risks and Titles (or supply) and Indemnification of Owner from external Claims and penalties: Clause 6.2.1 (I ) to (v) & Clause 17.0 of GCC 7. 7.1 REVIEW / APPROVALS BY THE OWNER Contractor shall successively submit design and drawings for review / approval of Project Manager in accordance with Clause3.2 of General Conditions and Schedule of submission of design documents and drawings is stipulated in Article-6 above. Project Manager shall give his approval /comments on above within 15 days of date of receipt at his registered office at Mumbai or at any place as directed by him. In case Owner has any comments on such documents, he shall within the 15 days inform Contractor of the same and if required, technical discussions shall be held immediately to finalize the Drawings. If approval or comments of Project Manager is not received within stipulated 15 days, Contractor shall notify latter immediately and if latter does not approve /comment still within next 15 days, former shall proceed ahead with Works considering that he has reviewed the designs and drawings and has no comments to offer. Contractor may make minor alterations to designs during course of construction as may be necessary or expedient, under prior intimation to Project Manager. If errors, omissions, ambiguities, inconsistencies, adequacies or other defects are noted in design and drawings submitted by Contractor, these documents and the Works shall be corrected at cost of latter, not withstanding any consent or approval thereof by Project Manager. Contractor shall inform Project Manager about Soft wares used for analysis and design. Diskettes / CDs of such software shall be provided to Owner at no cost. Standard software such as Aconex, sap, Unix, DOS, Windows or Excel only should be used. Details of drawings/ documents which will be submitted for review / approval or for information are as below: A) Civil Works Following documents/ drawings will be submitted for review/approval. Appendix-D1 SCOPE OF WORK- PLANNING, DESIGN AND ENGINEERING Contractor' Scope of Works shall include but not limited to the following: s 1 1.1 1.2 2. Review of existing data / studies Review of available geological and geotechnical data as a basis for finalizing on additional investigations to be carried out, if any, deemed necessary by Contractor. Review of available topographical information as a basis for a finalizing on additional detailed surveying to be carried out, if any, deemed necessary by Contractor. Field Investigations Field investigations for various work areas and laboratory as well as field tests as required over and above the existing data for detailed design and construction purposes both at initial stage and also subsequently during construction stage shall be identified & shall be carried out by the Contractor. The studies and evaluation of test results shall also be carried out under this Contract. 3 Overall and detailed planning of the Project Outline proposal submitted at Bid stage shall be firmed up based upon the requisite studies carried out and an overall planning report of the project shall be prepared and submitted. After incorporating the observations of Project Manager on the draft version, Contractor shall submit final version of Overall planning report. The report shall be comprehensive enough to fully define Project and shall be accompanied by all necessary layout drawings. The overall planning shall take in to consideration interrelated aspects of Civil, Hydro-mechanical, Electro-mechanical and Mulshi sub storage utilization. 4.0 4.1 Detailed Design & Engineering Preparing design briefs / design memorandum with layout drawings of all components of project. These design briefs, duly approved shall form basis for further design and construction drawings. Preparation and submission for review / approval of the Owner of the Specifications conforming to international practices duly backed up with their references defining the execution of a particular item of Work. Construction methodology and sequence of work for the project shall be submitted for owners approval taking into account the coordination with other agencies. Preparation of design criteria, arrangement of drawings and Specifications of all Hydro-Mechanical works and submission for review/approval. Co-ordination of design of Hydro mechanical Works with design of Civil Works. Review of detailed design, Drawings, quality assurance plans, manufacturers detailed Specifications, installation, testing and commissioning schedules and operation and

maintenance manuals submitted by the respective HM Contractors and submitting to the Owner for review / information. 4.6 Preparation of Manuals required for operation and maintenance of all the equipments and the Civil Works, including a Manual for initial filling-up of Water Conductor System as part of Commissioning. The scope of work shall also cover any optional works which have been included in the Work packages. Liaison with the Owner Design liaison with Owner from the start of the additional investigations and until commissioning of the generating unit and completion of warranty / defect liability period. Continued Design interaction with the Electro-mechanical works for civil, hydromechanical and electro-mechanical works of the project, its re-scheduling wherever is required to match with TIME FOR COMPLETION. Preparation of Monthly Reports on progress of Works to Project Manager, as detailed in Articles 3.18, 3.19 and 9.1 to 9.5 of GCC on behalf of Consortium. To arrange co-ordination/progress review meetings between the members of the consortium and the owner on regular basis. Project Implementation Report Preparation and submission of project implementation report based on the earlier design reports and data generated during the course of execution of the project. This document should include all as built drawings for different components of civil, hydro mechanical works. Construction methodology adopted and lessons learnt shall also form part of the report. Above list is not exhaustive. Obligations of Contractor shall extend to all other necessary jobs to be done including necessary additional investigations, not specifically listed above but are necessary for proper completion and functioning of Project as a whole, and all such items shall be deemed to have been included in the scope of WORKS.

APPENDIX-D2 SUPPLY OF DRAWINGS, REPORTS ETC. Contractor shall furnish following number of copies of drawings, reports and other technical documents: 1. Draft version of Technical specifications to be submitted in triplicate. Final version of Technical Specification for civil works- ten copies to be submitted. Soft copies of the approved version shall also be provided. Five hard copies of the final version of various reports/design briefs/design memorandum along with soft versions shall be submitted in each case. Draft version to be submitted in duplicate. Drawings for review / approval be submitted in three sets in A-3 size. One paper copy shall be returned to Contractor after review. Design calculations for information/comments shall be submitted in sets of three hard copies. Three hard copies of detailed construction drawings (2 nos. paper copies + 1 no. polyester film copy) to Design office of Project Manager and five paper copies for his Site office. Five hard copies of approved manuals in addition to soft copies. Monthly progress reports shall be submitted in ten copies as specified in Clauses 3.18 & 3.19 of GCC. Five sets of hard copies and soft version of the Project Completion Report to be submitted.
