Serving on the Board of Directors

The OASIS Board of Directors, composed of a maximum of 11 executive-level officers, influences the strategic direction of OASIS. The directors are experienced in managing organizational growth and defining policies, and play a pivotal role in advancing OASIS’ mission.

What qualities are desired in a board candidate?

  • OASIS seeks candidates that have a commitment to leading the organization in achieving its goals and objectives in advancing open source and standards.

What are the participation expectations?

  • Board members are expected to attend and participate in scheduled virtual meetings throughout the year. Typically, the Board meets every other month along with one in-person meeting.

Nominations

Who’s eligible to be a candidate?

  • Anyone who is either a) an employee of an organization that is an OASIS member in good standing and that has no other employees serving on the OASIS Board or b) holds an OASIS Individual membership may be nominated for the OASIS Board of Directors.

How are candidates nominated?

  • Anyone employed by an OASIS member organization may nominate a candidate for the Board of Directors.
  • To nominate someone other than yourself, email your nomination to [email protected], copying the nominee.
  • To nominate yourself or confirm your own nomination, use our Nomination Acceptance Form. All candidates must confirm their nominations and complete this form before the nominations deadline. Nominations not formally accepted by the nominee by the end of the nomination period will be considered withdrawn.
  • Many candidates self-nominate. Nominations are not made public.
  • Candidates remain confidential until the opening of the ballot.

Voting

Who is eligible to vote?

  • Every organization that holds OASIS membership – whether in Technical Committees, Open Projects, or both – is eligible to vote via one ballot with votes up to the number of open seats in the election. Member organizations must be in good standing when the ballot opens.
  • A link to an online ballot will be emailed to each organizational member’s Primary Representative or designated Voting Representative. Members are encouraged to share their views on the candidates with their Primary Representatives.

How does voting work?

  • If quorum is not reached, the balloting period will be extended with reasonable notice to all voting members.

How are the new Board members determined?

  • In the Annual Election, the candidates receiving the highest number of votes will each secure a two-year term on the OASIS Board of Directors.
  • In the event of a Special Election to address a midterm vacancy, the candidate receiving the highest number of votes outside of the Annual Election will serve out the remainder of the unfilled term.
  • In the event of a tie, a winner will be selected among the tied candidates by a random process overseen by the election administrator and witnessed by one or more impartial parties.

Where can members view nominees’ information?

  • Candidate profiles will be published on the OASIS website when the nomination period ends. Profiles cannot be edited after the ballot opens.

How can members get involved in the process?

  • Candidates and members alike can utilize the designated email alias [email protected] for distributing election-related materials to voting members and sending messages of support to the voting representatives.
  • Members may actively participate in the candidate selection process by discussing important issues on the [email protected] mail list.
