Thanks Michael Cicero for being the guinea pig for Tangibly Inc's new guest author series!!! Great piece on restrictive covenants under the Georgia Restrictive Covenants Act (GRCA). From the article: ✔ If parties to a restrictive covenant agree to a choice of non-Georgia law in an employment or other agreement containing the covenant, they should be aware that if litigation over the covenant ensues in a Georgia court and the court can exercise personal jurisdiction over one of the parties as a party defendant, the court will apply Georgia law (namely, the GRCA) to assess enforceability of the restrictive covenant, irrespective of the choice-of-law provision. ✔ A party seeking to avoid application of the GRCA to the case ought to include a choice-of-forum provision in the agreement to select a forum other than Georgia to a adjudicate any disputes related to the agreement. ✔ The ability to select the forum places a premium on understanding how the restrictive covenant law of the potentially chosen forum compares to those of other forums. ✔ Experienced counsel can place a business in the best position to make that determination before execution of an agreement. I was watching an interview with Quentin Tarantino on 2 bears 1 cave last night and it got me thinking about storytelling, my childhood, and oddly enough, serial killers. Quentin was promoting his book Cinema Speculation, which is fantastic BTW. If you have never watched a Quentin Tarantino film or are not a fan, then you should probably stop reading this since I’m going to geek out a bit. Cinema Speculation is part memoir and part history of the greatest period of moving making, the 1970’s, at least according to Quentin, but I’d say most cinemaphiles would agree. Films like Bullit, Taxi Driver, and Rolling Thunder to name a few. What’s fascinating about the interview and the book is that it digs into how he became a master filmmaker and how his appreciation for film grew out of his mom (and her boyfriends) taking him to movies he probably should not have gone to as a kid. You get the impression that young Quentin had a true appreciation for the art of storytelling and could sense when a movie was a total hack or a masterpiece. This got me thinking about all things being an entrepreneur and how our experiences shape our view of the world. I grew up in a suburb of Silicon Valley in the 70’s and 80’s. I remember one important thing from my childhood and that was serial killers. For whatever reason, California and the Bay Area had a lot of them. Kidnappers too. This might seem odd to bring up but these sorts of things leave an impression on you. Since both my parents worked, we were left alone to fend for ourselves. That was not uncommon for Gen X kids. The experience of taking care of yourself at a young age leaves an impression that no one is there to help you and you need to figure it out yourself – which is one of the most important traits of being an entrepreneur.
