According to an ISS report, environmental, social, and governance proposals are regaining some shareholder support this proxy season after a 2-year decline. Governance and compensation proposals drove the bulk of this growth, with median support at 34.9% -- the highest in 5 years. Environmental proposals declined, while social proposals remained flat, though support increased slightly. While anti-ESG proposals continued to increase, support remained low and below that of ESG proposals. Governance is back on focus this proxy season, with both the volume and support on proposals aiming to enhance shareholder rights and companies’ governance practices gaining steam. Environmental and social proposals are showing a sign of reversing trend of declining support from the 2021 peak, while anti-ESG proposals are gaining volume but not support. Majority points to the fall of ESG, while minority claims term has been politicized and misunderstood at House hearing The Subcommittee on Oversight and Investigations of the House Financial Services Committee recently held a hearing entitled The Fall of ESG: Scrutinizing the Failed Use of Environmental, Social, & Governance Standards and the Influence of Proxy Advisors. The stated purpose of the hearing was to examine ESG trends and initiatives, and the influence of proxy advisory firms on U.S. capital markets. The subcommittee also explored why companies and investment firms have been turning away from ESG activism and the influence of proxy advisory firms, as stated in its hearing memorandum. Three witnesses appeared before the subcommittee, including Charles Crain, Vice President of Domestic Policy, National Association of Manufacturers, Tim Doyle, Founder and Principal, Doyle Strategies, and Michael Frerichs (D-Ill.), the Treasurer of the State of Illinois. Crain’s testimony focused on the outsized influence of proxy firms and the need to impose further regulatory scrutiny on their activities, while Doyle provided detailed explanations regarding the ideas underlying ESG integration and ESG impact.
