INTERNAL Classified as STRATA General-Internal STATEMENT OF WORK NEW INITIATIVE DUE DILIGENCE – Project Phoenix v
1.1 SUMMARY OF SERVICES
The Supplier shall render the service of performing Due Diligence for the following aspects of the project: • Technical Objective of the Due Diligence will be to identify and report positive and negative factors for future investment by Strata in a target company. This will be a red-flag assessment.
TECHNICAL DUE DILIGENCE
Technology • Compare the pros and cons of various technologies (e.g., Alkaline technology vs. PEM technology vs. Solid Oxide technology) for producing green hydrogen using electrolysers. • Assess elements (technical, operational, commercial, regulatory, subsidies, etc.) that are vital for the commercialization of hydrogen • Compare alkaline technology versus upcoming technology along the identified elements that are impacted by technologies (e.g., maturity, performance, efficiency, operating cost, etc.) • Utilising the comparison, scale the maturity of various technologies and assess upcoming disruptive technologies that might displace alkaline electrolysis technology and the likelihood and timeline for their uptake as an alternative • Compare Target to competitors to assess the differentiation and assess the entry barriers it creates in a particular geography.
Operations and Scaling Up Red Flags and Mitigation Strategies • Identify the key challenges in electrolyser manufacturing plants from availability, performance, and Quality perspective INTERNAL Classified as STRATA General-Internal o Comment on the available mitigation strategies to address these key challenges o Assess the Industrial maturity of the target in terms of systems (e.g., ERP, MRP, Performance measurement dashboard, Safety, etc.) vital to producing electrolyser • Assess the potential key challenges in setting up plant capacity. o Evaluate the expected improvements/ decline expectations during scale-up (if any) •
Assess the Capability of the target to set up JV and deliver multi-gigawatt electrolyser capacity in the next 3-4 years o Assess the earlier experience of the target in ramping up the production/ capacity o Assess the historical trend of the improvement in the pilot plant, commercialized projects, and the consistency of delivery performance (through customer feedback) o For delivered projects, ascertain the Target’s performance as per the customer feedback evaluating key dimensions of performance for key projects • Identify red flags and propose mitigation strategies for any red flags identified, including but not limited to: o Challenges in scaling up plant capacity in the UAE o Sourcing key equipment o Sourcing raw materials o Hiring relevant skilled talent.
