Position Summary

The Chief Legal Officer (CLO) will be responsible for overseeing all legal matters within the organization. This includes providing strategic guidance, consultation, and support to senior management on a comprehensive range of legal and associated issues involved in carrying out the mission of the company. The CLO will ensure legal compliance and mitigate legal risks to protect the company’s interests and support the CEO’s strategic objectives.


Key Responsibilities

  • Legal Strategy: Develop and implement legal strategies to support and enhance the company’s business objectives and long-term goals.
  • Compliance: Ensure the company complies with all applicable laws and regulations, including corporate governance, employment laws, and industry-specific regulations.
  • Risk Management: Identify, assess, and manage legal risks to the company, providing proactive solutions and strategies to mitigate potential legal challenges.
  • Contract Management: Oversee the drafting, review, and negotiation of all major contracts, agreements, and other legal documents to ensure the company’s interests are protected.
  • Litigation Management: Manage and oversee all litigation and dispute resolution processes involving the company, working closely with external counsel as needed.
  • Corporate Governance: Advise the CEO and the board of directors on corporate governance practices and ensure compliance with corporate governance standards.
  • Mergers and Acquisitions: Provide legal support and due diligence in mergers, acquisitions, joint ventures, and other strategic partnerships.
  • Policy Development: Develop and implement company policies and procedures to ensure legal compliance and best practices across the organization.
  • Leadership: Lead and develop the legal team, fostering a culture of excellence, collaboration, and continuous improvement.
  • Advisory Role: Serve as a key advisor to the CEO and senior management on all legal matters, providing strategic insights and support to achieve business objectives.
  • Stakeholder Relations: Build and maintain strong relationships with external legal counsel, regulatory bodies, and other stakeholders.


Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • Minimum of 10 years of legal experience, with at least 5 years in a senior legal leadership role.
  • Extensive experience in corporate law, compliance, risk management, and contract negotiation.
  • Strong knowledge of industry-specific regulations and legal issues.
  • Proven track record of providing strategic legal advice to senior management.
  • Exceptional leadership, communication, and interpersonal skills.
  • High level of integrity, ethics, and professionalism.
  • Ability to work effectively in a fast-paced, dynamic environment.
  • Proficiency in legal research tools.
