The role of Associate Attorney is no different, and in fact, plays a key role by partnering and supporting internal clients to draft, negotiate and close sales and procurement transactions as well as mitigate risk related to privacy and data security issues, compliance, and other areas of law, as needs arise.

This individual actively manages work with external legal counsel to address complex business problems.

Requirements

Duties and Responsibilities

  • Effectively communicate contractual and business matters, providing solid risk/benefit analysis and guidance to Medecision's internal stakeholders.
  • Review, draft and negotiate complex agreements with Medecision’s customers per Medecision’s guidelines including: SaaS Agreements, Statements of Work, Security Agreements and Business Associate Agreements.
  • Proactively provide legal support/advice to stakeholders regarding changes in the law, including HIPAA and data privacy laws and other legal issues that may involve the company’s short or long-term strategic operations.
  • Serves as the Medecision legal point person while coordinating and managing the work with external legal counsel to address complex business problems.
  • Track contracts that are being negotiated and assisting in closing new contract transactions.
  • Analyze across the client base, similar contracted provisions, assessing the impact of changes in company standard agreements and recommending the course of action.
  • Track contractual due dates and cancellation rights.
  • Participate in contract dispute resolutions and related processes.
  • Participate in the compliance committee, tracking related requirements, and overseeing the annual review of policies.
  • Manage the company’s processes related to state registrations.
  • Analyze processes related to contract negotiation/management to identify and recommend improvements when needed.
  • Maintain complete confidentiality of company-related business.
  • Assist with maintaining company's contract management system.

What You’ll Bring

Education and Experience

  • Juris Doctor from an ABA-accredited law school.
  • Active legal license in state of residence. TX or PA license highly preferred. Open to IL or CA
  • Minimum of 5 years of legal experience providing advice to corporate organizations, preferably with prior experience at a large law firm; experience working on transactions/contracts in the Healthcare industry is preferred but not required.
  • Direct experience in structuring, negotiating, and drafting complex commercial agreements with a preference for IT agreements.
  • Experience providing advice on corporate matters and transactions, preferably including privacy and data security issues, compliance.
  • Exceptional verbal and written communication skills necessary to communicate with all levels of internal and external stakeholders.
  • Strong negotiation skills, particularly at the executive level, along with the ability to navigate complex scenarios diplomatically.
  • Excellent analytical and problem-solving skills, including ability to make recommendations and exercise judgment.
  • Time management and organizational skills necessary to independently manage significant number of transactions, appropriately prioritize workload, plan for resources to meet deadlines and goals.
  • Ability to maintain confidentiality and project a professional image at all times.
  • Self-motivated with critical attention to detail and deadlines.
  • Ability to work independently as well as cooperatively in a strong team environment and to deliver on detail as well as strategy.
  • Proficient in software skills, including use of Microsoft Office (Excel, Word, PowerPoint) software and other web-based applications.
