When you are defining what is a breach you also need to consider upfront what you would do if there is a breach - can you bring the work inhouse? how quickly can you source another provider and move the work to the new provider? are the implications different depending on the party that breaches? As you think about the types of breach start considering what you need to do internally in response to each breach. By considering this upfront you will put yourself in a better position to respond in the negotiations when looking at various clauses including SLAs, breach, etc.

Make sure you are including your Risk Management team in the discussions so that you are considering who bears what costs if a breach were to occur.

A contract is a legal document which creates legally binding obligations between parties so I would not recommend that anyone enters into a contract without taking legal advice from a lawyer qualified in the country which is stated to be the governing law of the contract. It's far better to spend time reviewing, drafting and negotiating the provisions in a contract such as the notice of breach clause BEFORE the contract is entered into. Otherwise, there is a significant risk of disputes arising, particularly if the parties did not understand precisely what they were signing up to. Disputes regarding contract interpretation can be time-consuming and costly. Why spend money on the lawyers at that stage? Get them involved at the outset!

In my experience when it has come to juncture of legal advice, documentary evidence or the lack of it would normally make or break a claim. As a reminder, all documentation would be helpful, have we written to the other party? How did they respond? Were there minutes of meeting? In my experience, especially at the beginning of a project, when a contract it's still "young", parties won't care much of "breaches and notices": these will become "important" later on, when a relationship deteriorates. At the beginning, letters will be exchanged omitting the "notice" particle: I know, it's silly, but people do believe in the power of words, so even a particularly detailed letter won't be considered a "notice". In fact, "minor breaches" will be liberally exchanged with liquidated damages and other remedies to avoid souring the business relationship. Having a copper-bottomed "notice of breach clause" will be always extremely helpful, even when the "higher management" won't even consider it. When in doubt, issue a notice.
