Securities commission

Securities commission is a general term used for a government department or agency responsible for financial regulation of securities products within a particular country. Its powers and responsibilities vary greatly from country to country, but generally cover the setting of rules as well as enforcing them for financial intermediaries and stock exchanges.

History

As long as there have been securities there have been regulations. However, in the early days this consisted primarily of self-regulated groups or societies. External government regulation has primarily been driven by financial crises or scandals.

As early as the 13th century the king Edward I of England decreed that brokers should be licensed after he was forced to go to local money brokers that give much less favorable terms then his Italian brokers after the start of the Anglo-French war.

In 1720 the British Parliament passed the Bubble Act which had specific regulations for securities. However the motive of this act was more to support the ‘South Sea bubble’ than protect consumers. However this was the first time that prospectuses and disclosure in the modern sense were used. There was widespread distrust of brokers as the scams collapsed.

Securities Commission (Brazil)

The Securities and Exchange Commission of Brazil (CVM) (Portuguese: Comissão de Valores Mobiliários) is the securities market authority in Brazil. It regulates the capital markets in Brazil and all of its participant. This includes stock exchanges, public companies, financial intermediaries and investors. It is an independent agency linked to the Ministry of Finance (Brazil)

History

The CVM was established on 7 December 1976, with the passing of the Brazilian legislation Law(6385/76). The CVM responsibilities and powers have been expanded since by Law No. 6422 of 8 June 1977, Law No. 9457 of 5 May 1997, Law No. 10303 of 31 October 2001, Decree No. 3995 of 31 October 2001, Law No. 10,411 of 26 February 2002. In addition the CVM also performs duties under the corporation act as part of Law (6404/76)

On Dec 7 2009, CVM enacted a new regulation to enhance the information provided to investors by companies issuing securities in line with International Organization of Securities Commissions guidelines.

Securities Commission of New Zealand

The Securities Commission was an independent Crown Entity of the government of New Zealand and the main regulator of investments. It was replaced on the 1 May 2011 by the Financial Markets Authority (New Zealand).

It was responsible for enforcement, monitoring and market oversight of the securities markets, authorising participants and promoting public understanding of investments. This includes authorising the New Zealand Stock Exchange with which it runs a co-regulatory model.

On 27 April 2010 the New Zealand minister for commerce Simon Power announced that Securities Commission would be replaced by a new integrated financial regulator the Financial Markets Authority.

History

The Commission was first established under the Securities Act 1978 which determines its powers and functions.

The commissions role was modified and extended by a number of additional pieces of legislation. These include the Securities Markets Act 1988, the Investment Advisers (Disclosure) Act 1996, the Securities Regulations 1983, the Securities Act (Contributory Mortgage) Regulations 1988, and the Securities (Fees) Regulations 1998.
