🚨 Important Notice for Board Members, General Managers, Managers, and Shareholders of Lebanese Joint-Stock Companies (S.A.L. Companies)! 🚨 Did you know that the Lebanese Code of Commerce imposes strict rules on transactions between your S.A.L. Company and its key stakeholders as board members, the general-manager, assistant general managers, and any shareholder holding 5% or more of the company's voting rights? 🏢 Here’s what you need to know: 1️⃣ Board Approval Required: Any agreement or commitment between your S.A.L. Company and one of the stakeholders mentioned above must obtain prior approval from your company's Board of Directors. This requirement applies whether the transaction is conducted directly or indirectly, including through a third party. However, this rule does not apply to ordinary transactions that fall within the company's regular business activities, provided that the involved stakeholder is subject to the same terms and conditions typically applied to your company’s regular clients. 2️⃣ Transactions with Other Companies: If the agreement or commitment is made between your S.A.L. Company and another company where any of the stakeholders mentioned above: - Holds more than 5% of voting rights in the other company, - Is a jointly liable partner (associé solidaire) or a general partner (associé commandité) in the other company when it is a general partnership (société en nom collectif) or a limited partnership (société en commandite), Or - is a director or member of the board of the other company. This transaction also requires a prior approval by the Board of your company. 4️⃣ Board's & Shareholders’ Assembly’s Duties: The Board of Directors is required to review and make a decision regarding the approval of such transactions within a reasonable timeframe. If approved, the board’s decision must be ratified by the shareholders at the general assembly of your company. No transaction between your S.A.L. Company and the aforementioned stakeholders or other companies is considered valid without a formal ratification by the shareholders' assembly of your company. 6️⃣ Prohibition on Loans and Guarantees: In all circumstances, the aforementioned stakeholders and other companies are strictly prohibited from obtaining any loans, facilities, guarantees, or other forms of security from your S.A.L. Company, except for specific exceptions outlined under applicable banking and financial market regulations. 💡 As a key decision-maker in your company, it’s essential to stay informed and ensure all transactions are fully compliant with the law. We founded the Lebanon Law Review 4 years ago as an academic legal journal on a mission. Enlighten, Reform, and Inspire the Lebanese Legal Community. Born out of the October Revolution as a platform for jurists to distribute their thought, we quickly scaled to well over 95 authors in less than a year. I am pleased to announce the publication of my study in the International Review of Comparative Law (n°2 / 302, April - June 2024) on “THE RIGHT TO APPEAL AGAINST JUDGMENTS in absentia IN FRENCH, LEBANESE AND INTERNATIONAL LAW: Comparative study under the prism of the case-law of the European Court of Human Rights and the Special Tribunal for Lebanon. Below is a summary of this study:                                                      Abstract In accordance with French law and Lebanese law and even with the procedural system applicable before the Special Tribunal for Lebanon (“the STL”) and the international criminal law, if an accused is convicted in absentia, neither he nor his Counsel can claim any right to an effective judicial remedy against a judgment rendered in absentia, as long as the convicted person is not physically present before the competent criminal court. This rule is in alignment with the case law of the European Court of Human Rights (ECHR), which states that the purpose of requiring the presence of the accused, pursued by the legislator, is legitimate. It therefore does not disproportionately undermine the right to a fair trial, enshrined in Article 6 of the ECHR. Nevertheless, it appears that the Lebanese law, unlike the French law and the STL law, goes even further by depriving the absent accused’s Counsel or his representative, not only from the right to an effective judicial remedy against the judgment convicting him “in absentia", but also from the right to defend the interests of the accused who has failed in his obligation to appear before the court, which constitutes a serious violation of the latter’s right to a fair trial guaranteed by the ECHR. https://lnkd.in/gywBdHip

An unexpected source of inspiration for my work in legal knowledge management: Studying Modern Standard Arabic (’al-Fuṣḥā’ or الفصحى) for 4 semesters in college. While I wish I continued beyond this brief intro into the language structure and simple vocab, some of the basics have stuck with me a decade later. If you’re not familiar, MSA is the version of Arabic used in most ‘formal’ settings—books, news reports, government forms, etc. While native speakers first learn one of the various dialects or vernacular varieties of spoken Arabic (العامية, al-ʿāmmiyya), MSA offers a universal standard across the regional differences in day-to-day spoken language. As a native English speaker, I came to appreciate the (relatively) clean, rigid structure to Arabic vocabulary. Most words are formed around 3 or 4 ‘root’ consonants—essentially acting as the building blocks for a larger ‘word family’ when you add new consonants and vowels to the roots. For example: كتب (kutab) = books 📚 كتابة (kitaba) = writing ✍🏼 مكتبة (maktaba) = bookstore or library 🏫 مكتب (maktab) = office 🏢 كاتب (katib) = writer 👩🏾‍💻 Even cooler: the prefixes, suffixes, etc. that are added to create these word families often have a shared impact on their roots. So when you’re learning new vocabulary, you can make educated guesses on a word’s meaning based on your understanding of word families with similar structure. Again—as an English speaker, the level of logical organization is incredible. And in my experience, it's a helpful reminder of the value of strong reference points, standard structure, and shared expectations when creating and managing complex systems.
