The chemical industry plays a powerful role, especially by tackling scope 3 emissions: the indirect emissions that ripple across our entire value chain from raw materials to transportation. These make up a striking 80% of our total footprint at Covestro, therefor reducing them is essential for us to build a sustainable future. The year 2035 marks a key initial milestone on our path: until then we want to reduce our CO₂ emissions by 10 million tons along our supply chain. In a great move towards circular economy in the automotive industry, we strengthen our partnership with Chinese recycling specialist Ausell. ♻ Together, we aim to transform end-of-life automotive headlamps into valuable materials for future vehicles, exemplifying the power of innovative recycling and sustainable manufacturing. It works as follows: Ausell will supply Covestro with recycled polycarbonates sourced from discarded automotive headlamps. Covestro will then process these materials into premium post-consumer recycled (PCR) products, suitable for various automotive applications. Every step toward a more sustainable future counts – including innovations in auto seats! 🚗 Our polyurethane (PU) foam isn't just comfy and durable – it's also a game-changer for sustainability. By using bio-circular feedstocks like used cooking oil, allocated via the mass balance approach, our more sustainable PU foam helps save fossil resources and reduces CO₂ emissions. But that's just the beginning. By the end of 2027, we'll take the next step by incorporating recycled post-consumer waste into PU foam, further closing the loop on sustainability! ♻ And it doesn't end there. Turning yesterday's headlamps into tomorrow's car parts: That's the power of our deepened collaboration with Chinese plastics recycling company Ausell. Our enhanced partnership will see Ausell supplying recycled polycarbonates from discarded automotive headlamps, which we'll then process into high-quality post-consumer recycled (PCR) materials. These materials will find new life in various automotive applications, effectively closing the loop in automotive plastics recycling. Building on our successful partnership since 2020, we're now taking a significant leap forward in advancing circularity in the automotive industry. Our joint initiative aims to build a closed-loop system for automotive plastics, addressing rising industry demands and regulations. Today, I am pleased to announce that the Board of Management and the Supervisory Board of Covestro welcome and support ADNOC Group’s public takeover offer and jointly recommend Covestro’s shareholders to accept the offer.   What does this mean concretely?   After thorough consideration, my board colleagues and I, together with the Supervisory Board, have concluded that, based on the broad commitments made by ADNOC International, a strategic partnership is the right step. We are also convinced that the partnership is in the best interest of Covestro, our shareholders, our employees and all other stakeholders of Covestro. We are pursuing a long-term growth strategy and will be able to execute on it even more consistently with the support of ADNOC International. We therefore support the offer and recommend that our shareholders accept it.

After thorough consideration, our Board of Management and Supervisory Board support ADNOC Group International's takeover offer and jointly recommend to our shareholders to accept the offer. In their joint reasoned statement, they conclude that this strategic partnership is the right step for us and therefore in the best interests of our company, shareholders, employees and all other stakeholders. With our “Sustainable Future” strategy, we are pursuing a long-term growth strategy and will be able to execute on it even more consistently with the support of ADNOC International.
